Either party may terminate this Agreement without cause upon days prior written notice to the other party. Either party may terminate for material breach if the breach remains uncured for days following written notice of such breach.

Upon termination, Service Provider will be entitled to payment for services properly rendered through the effective date of termination and return of Client property in Provider's possession. Client shall pay any reasonable costs to remedy damage resulting from termination for cause.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information of the other party received in connection with the provision or receipt of services ("Confidential Information"). Confidential Information shall not include information that is or becomes public through no fault of the receiving party. Confidential Information shall be held for a period of years following termination, unless otherwise required by law.

INSURANCE & INDEMNIFICATION

Service Provider shall maintain commercial general liability insurance and workers' compensation insurance as required by law and shall, upon request, furnish certificates of insurance to Client. Service Provider shall indemnify, defend and hold Client harmless from and against losses, claims, damages and liabilities arising from Service Provider's negligence or willful misconduct in the performance of services, except to the extent caused by Client's negligence or willful misconduct.

ACCESS, KEYS & HEALTH & SAFETY

Client shall provide reasonable access to the Premises and shall notify Provider of any site-specific safety rules. If keys or access codes are provided to Provider, Provider shall safeguard such items and return them upon request. Provider will comply with applicable health and safety regulations and shall not use hazardous chemicals without Client's prior written consent.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any written attachments and accepted change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings and negotiations. Any amendment or modification shall be effective only if in writing and signed by authorized representatives of both parties.
