BUSINESS CLIENT AGREEMENT

This Business Client Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: with principal address and Service Provider Name: with principal address .

RECITALS

WHEREAS, Client requires certain professional services and deliverables described herein to support Client's business operations, and Provider has represented that it has the capability and expertise to provide such services under the terms of this Agreement.

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform services for Client, including scope, schedule, payment and confidentiality obligations.

WHEREAS, the parties intend that this Agreement constitute the complete and exclusive statement of the terms of their arrangement and supersede all prior agreements and understandings.

SCOPE OF WORK

Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards. Deliverables, milestones, and specific acceptance criteria, if any, shall be set forth in writing and attached as an addendum or delineated in the Description of Services field above.

PAYMENT TERMS

Unless otherwise agreed in writing, Provider will submit invoices in accordance with the Payment Schedule. Payments are due within days of invoice date. Amounts unpaid after such period shall accrue late fees at a rate of per month, or the maximum lawful rate if lower. Client is responsible for applicable taxes unless Provider is provided a valid exemption certificate.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within days after written notice specifying the breach.

Upon termination, Client shall pay Provider for all services performed and reimbursable expenses incurred through the effective date of termination, subject to Client's right to withhold amounts for unresolved material breaches.

CONFIDENTIALITY

Each party (Recipient) shall protect Confidential Information of the other party (Discloser) with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. "Confidential Information" includes non-public business information, financial data, trade secrets, technical specifications, client lists, pricing, and any information designated in writing as confidential or that reasonably should be understood to be confidential.

Recipient will not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected for as long as they qualify as trade secrets under applicable law.

ADDITIONAL PROVISIONS

Relationship of the Parties: Provider is an independent contractor. Nothing in this Agreement shall create an employment, partnership, agency, or joint venture relationship between the parties.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against claims arising from the indemnitee's gross negligence or willful misconduct in connection with performance of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Venue for any dispute arising out of or relating to this Agreement shall be in courts of competent jurisdiction within that state.

ENTIRE AGREEMENT

This Agreement, including all attachments and addenda executed by the parties, constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver shall be effective unless in a writing signed by both parties.

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, certified mail (return receipt requested), or by email with confirmation to the addresses specified above or such other address as either party may designate by notice pursuant to this section.
