Recitals

WHEREAS, Client Name: (the "Client") seeks to retain professional services for business advisory and related services; and

WHEREAS, Service Provider Name: (the "Service Provider") is willing to provide such services subject to the terms set forth below and the disclosures provided in this questionnaire;

NOW, THEREFORE, the parties complete the following questionnaire to document Client circumstances, define the Scope of Work, and record the principal commercial terms and contractual provisions that will govern the engagement.

Client is responsible for reasonable collection costs and legal fees incurred by the Service Provider to collect overdue amounts.

Term and Termination

This Agreement commences on Start Date: and terminates on End Date: , unless earlier terminated in accordance with the provisions below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breach is not cured within days after written notice of such breach. Termination does not relieve Client of its obligation to pay for services rendered and expenses incurred prior to termination.

Confidentiality

The parties acknowledge that in the course of performance each may receive confidential or proprietary information of the other. Each party agrees to: (a) hold such information in confidence using at least the same degree of care that it uses to protect its own confidential information, (b) use the information solely for performance under this Agreement, and (c) refrain from disclosing such information except to employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years unless otherwise required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without giving effect to conflict of law principles that would apply the laws of another jurisdiction.

Entire Agreement

This document, together with any attached exhibits, schedules, or statements of work executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
