This Business CLP Document (the "Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client engages Service Provider to perform the services described in this Agreement pursuant to the terms, conditions and scope set forth herein; and

WHEREAS, the parties desire to establish a confidential, limited-purpose relationship governing the exchange of certain confidential information, deliverables and any related license or production obligations (collectively, "CLP Obligations"); and

WHEREAS, the parties intend for this Agreement to set forth the full understanding with respect to the CLP Obligations and the commercial terms associated with the Services.

SCOPE OF WORK

Service Provider will perform the services, deliverables, milestones and any licensing or production tasks described below. The description will control the obligations of the parties and will be incorporated into this Agreement.

PAYMENT TERMS

In consideration for the performance of the Services, Client shall pay Service Provider in accordance with the following terms. All fees are exclusive of taxes unless otherwise stated.

All undisputed invoices not paid within the Payment Terms shall accrue the agreed Late Fee. Client shall not withhold undisputed amounts as set forth above. If Client disputes an invoice in good faith, Client shall notify Service Provider in writing within ten (10) days of receipt explaining the basis for the dispute.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and, unless earlier terminated in accordance with this Agreement, shall continue until the End Date or completion of Services.

Either party may terminate this Agreement for material breach if the breach remains uncured thirty (30) days after written notice, or immediately upon insolvency, bankruptcy, or assignment for the benefit of creditors. Termination does not relieve Client of its obligation to pay for Services performed and expenses incurred through the effective termination date.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means nonpublic, proprietary or confidential information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party shall: (a) hold Confidential Information in strict confidence, (b) not use Confidential Information except as necessary to perform its obligations under this Agreement, and (c) restrict disclosure to those employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Confidential Information does not include information that is: (i) already known to the recipient without obligation of confidentiality; (ii) becomes publicly available through no fault of the recipient; (iii) is rightfully received from a third party without restriction; or (iv) independently developed without use of Confidential Information. The recipient may disclose Confidential Information to the extent required by law, provided it gives prompt written notice and cooperates in seeking protective measures.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the state and federal courts located in the chosen governing law jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any appendices or exhibits expressly incorporated herein, constitutes the entire agreement between the parties concerning the CLP Obligations and supersedes all prior discussions, proposals, or agreements. No modification, amendment or waiver shall be effective unless in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to a successor in connection with a merger or sale of substantially all of its assets.
