BUSINESS CMTFL DOCUMENT

RECITALS

WHEREAS, Client is engaged in the business described as and desires to retain Provider to perform certain services; and

WHEREAS, Provider has the skill, personnel, and resources necessary to perform the services described in this Agreement and agrees to perform such services pursuant to the terms and conditions set forth herein.

WHEREAS, the parties desire to set forth their respective rights and obligations in writing through this Agreement.

SCOPE OF WORK

Provider shall perform the work and services described below in accordance with the standards of care and skill ordinarily exercised by professionals providing similar services. Provider shall deliver work products to Client in the form and schedule set forth in this Section.

PAYMENT TERMS

In consideration for Provider's satisfactory performance, Client shall pay Provider as follows:

All payments are due net as specified in the Payment Schedule. Late payments shall accrue the Late Payment Fee and may be subject to suspension of services if not cured within the notice period set forth in Term and Termination. Provider shall invoice Client and Client shall pay undisputed invoiced amounts within the time specified above.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within thirty (30) days following receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including payment for services performed.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep strictly confidential and shall not disclose to any third party Confidential Information disclosed by the other party (the Disclosing Party). "Confidential Information" means non-public information expressly designated as confidential or that reasonably should be understood to be confidential from its nature and circumstances of disclosure.

The Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care. Confidential Information does not include information that (a) is or becomes publicly available without breach; (b) is rightfully received without obligation of confidentiality from a third party; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt notice and cooperates to limit disclosure.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected for as long as such information qualifies as a trade secret under applicable law.

INDEMNIFICATION & LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Neither party shall be liable to the other for consequential, special, punitive or incidental damages, except for liability arising from a party's indemnification obligations, breach of confidentiality, or willful misconduct.

ASSIGNMENT

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement without consent to an affiliate or to a successor in interest to substantially all of its business to which this Agreement relates.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture or employment relationship. Headings are for convenience only and shall not affect interpretation.
