WHEREAS, Client operates a business and requires services described in this Agreement; and

WHEREAS, Service Provider represents that it has the experience and resources to perform the services and is willing to provide such services to Client under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with regard to the scope of work, compensation, confidentiality, term and termination, and other material provisions contained in this Agreement.

Termination for Convenience: Either party may terminate this Agreement upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately for material breach that is not cured within days after written notice specifying the breach.

Confidentiality

Each party (the Recipient) shall hold in strict confidence all Confidential Information disclosed by the other party (the Discloser). Confidential Information includes all non-public business, technical, financial, or operational information disclosed orally, in writing, or by inspection. The Recipient shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose it to any third party except to employees, contractors or advisors with a need to know who are bound to obligations of confidentiality at least as protective as those herein. Confidentiality obligations survive termination for a period of years.

Exceptions: Confidential Information does not include information that is (i) in the public domain through no fault of Recipient; (ii) rightfully received from a third party without restriction; (iii) independently developed by Recipient without use of Discloser's Confidential Information; or (iv) required to be disclosed by law or court order, provided Recipient gives prompt written notice and cooperates with Discloser to seek protective measures.

Warranties and Liability

Service Provider represents and warrants that it will perform services in a professional and workmanlike manner consistent with industry standards. EXCEPT AS PROVIDED IN THIS SECTION, THE PARTIES DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. Neither party shall be liable for incidental or consequential damages except to the extent arising from gross negligence or willful misconduct. The aggregate liability of either party for claims arising out of this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be effective upon receipt.

Entire Agreement

This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, proposals, representations and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor by merger or sale of substantially all assets, provided the successor assumes all obligations hereunder.

Severability: If any provision is held invalid or unenforceable, the remainder of this Agreement shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision reflecting the parties' intent.
