What a Business Coaching Agreement Covers

A Business Coaching Agreement is a written contract between a coach and a client that defines services, scope, fees, schedules, deliverables, confidentiality, and termination terms. It frames expectations for coaching engagements including performance milestones, communication protocols, intellectual property ownership of materials, and dispute resolution mechanisms. The agreement clarifies payment terms, refund policies, and any required client commitments such as assignments or access to company information. For engagements involving protected health information or student records, include appropriate compliance addenda. A clear agreement reduces misunderstandings and provides an enforceable record of the professional relationship.

Why a Written Agreement Matters

A Business Coaching Agreement documents responsibilities, reduces dispute risk, and aligns expectations on deliverables, timelines, and payment. It also protects confidential information, clarifies intellectual property rights, and sets termination procedures so both parties understand remedies and obligations during and after the engagement.

Why a Written Agreement Matters

Who Typically Uses This Agreement

Organizations and individuals who engage paid coaching services and their legal or administrative representatives use this agreement to set terms.

  • Small business owners signing executive coaching packages that include strategy sessions and deliverables.
  • Corporate HR or L&D departments contracting external coaches for leadership development programs.
  • Independent consultants and coaches formalizing scope, fees, refund policy, and confidentiality with clients.

Use this document when coaching includes paid deliverables, program access, intellectual property transfer, confidentiality, or multi-session commitments.

Core Sections to Include in the Agreement

Key sections describe scope of work, fee schedule, confidentiality protections, deliverables, termination rights, and responsibilities for both coach and client.

Scope of Work

Detail services provided, number and length of sessions, delivery method, measurable milestones, and any client obligations such as homework or access to company records for evaluation.

Fees & Payment

State total fees, payment schedule, accepted payment methods, late fees, refund conditions, and whether taxes or additional expenses are billed to the client, with examples of installment plans.

Confidentiality

Specify confidential information definitions, permitted disclosures, duration of nondisclosure, data handling for sensitive materials, and any HIPAA or FERPA considerations when applicable, including breach notification procedures.

Intellectual Property

Clarify ownership of coaching materials, licenses granted to clients, rights to reuse work products, and whether pre-existing IP remains with its original owner and specify attribution and derivative work terms.

Termination

Define termination events, notice periods, refund entitlement, cure periods for breach, and the effect of termination on deliverables and ongoing obligations, including post-termination confidentiality and return of materials.

Dispute Resolution

State governing law, venue for disputes, whether arbitration or mediation applies, and procedures for injunctive relief or temporary restraints when confidentiality or IP is at risk.

Security and Compliance Considerations

Encryption: AES-256 at rest, TLS 1.2/1.3 in transit
Audit Trail: Complete timestamps, IP addresses, action log
Compliance: ESIGN, UETA, HIPAA (BAA available)
Access Controls: Role-based access, SSO and MFA options
Certifications: SOC 2 Type II, ISO 27001, PCI DSS
Data Residency: EU-U.S. Data Privacy Framework available

Key Legal Risks and Potential Penalties

Breach Liability: Damages and legal fees may apply
Confidentiality Breach: HIPAA penalties when PHI exposed
Intellectual Property: Unauthorized use can trigger claims
Payment Disputes: Late or missing payments risk collection
Termination Disputes: Costs from contested terminations
Compliance Failures: Regulatory fines and contract voiding

Common Preparation Mistakes to Avoid

  • Using vague scope language that leaves deliverables undefined or subjective, causing disagreement over whether the coach met agreed objectives and when payments are owed.
  • Failing to address intellectual property ownership for materials, which can lead to disputes over reuse, redistribution, or claimed ownership after the engagement ends.
  • Omitting confidentiality or data-handling rules for client information, especially sensitive business data or PHI, increases legal and reputational risk.
  • Not specifying termination notice periods or cure rights, which can result in sudden contract termination without opportunity to remedy alleged breaches.
