What the Business Code of Awesomeness Is

The Business Code of Awesomeness is a written company policy that defines expected conduct, ethical standards, and operational guidelines for employees, contractors, and partners. It organizes responsibilities, conflict-of-interest rules, confidentiality expectations, and escalation paths in a single document. The form can be executed by authorized signatories and stored electronically; where used, electronic signatures should meet ESIGN and UETA requirements to ensure admissibility in interstate commerce.

Why a Clear Code Matters for Your Organization

A concise code reduces ambiguity, supports consistent decision-making, and documents policies that regulators and auditors expect to see. It helps align behavior with legal obligations and demonstrates the company’s governance framework to stakeholders and external reviewers.

Why a Clear Code Matters for Your Organization

Who Typically Uses the Business Code of Awesomeness

Organizations of all sizes use a code to set standards for conduct, compliance, and internal controls.

  • Human Resources teams implementing onboarding and disciplinary policies across departments
  • Legal or compliance groups formalizing regulatory obligations and reporting procedures
  • Executive leadership and boards establishing governance expectations and escalation paths

Use the code to document expectations for employees, contractors, and vendors and to support training, audits, and investigations.

Who Has Authority to Sign

Chief Legal Officer

The Chief Legal Officer or General Counsel typically reviews and approves the Code before board adoption; their signature confirms legal review and indicates the company accepts the obligations and enforcement approach described.

Chief Executive

The Chief Executive or an authorized executive executes the final document to signal corporate commitment; their signature is often required to make the Code effective and to trigger related compliance processes.

Core Elements to Include in a Professional Code

A robust Business Code of Awesomeness should combine principles, practical rules, and enforcement processes to be usable in daily operations and defensible during audits or disputes.

Purpose and Scope

Explain why the Code exists, who it covers, and which activities and entities are subject to its rules and exclusions.

Conduct Standards

List specific behavioral expectations: conflicts of interest, gifts and hospitality, confidentiality, and workplace conduct.

Compliance Obligations

Identify regulatory or statutory obligations that affect operations, including industry-specific requirements and reporting duties.

Reporting and Investigations

Describe how to report suspected violations, investigation processes, protections for whistleblowers, and escalation paths.

Disciplinary Measures

Set out consequences for violations, the decision authority for sanctions, and how remedial actions are tracked.

Review and Amendment

Specify review cadence, version control, and who may amend the Code and under what procedures.

Essential Security and Compliance Considerations

Encryption in Transit: TLS 1.2 and 1.3 encryption for data in transit
Encryption at Rest: AES-256 encryption for stored documents and backups
Privacy Frameworks: GDPR-compliant controls and EU-U.S. Data Privacy Framework
Audit Certification: SOC 2 Type II certified controls available
Healthcare Compliance: HIPAA compliant; Business Associate Agreement available
Regulated Records: 21 CFR Part 11 support for FDA-regulated workflows

Step-by-Step: Completing the Business Code

Follow a clear sequence to draft, approve, and execute the Code so that responsibilities, effective dates, and version history are unambiguous.

  • 01
Draft: Assemble legal, HR, and operational input and create a consolidated draft.
  • 02
Review: Legal and compliance teams review for regulatory alignment and risk gaps.
  • 03
Approve: Obtain executive and board sign-off where required by governance rules.
  • 04
Execute: Have authorized signatories sign and record the effective date and version.

How Electronic Execution and Routing Typically Works

An efficient eSignature workflow reduces turnaround time while preserving auditability and the record of consent for the Code.

  • Upload: Sender uploads the Code document to the signing platform.
  • Place Fields: Add signature, name, date, and initial fields as needed.
  • Add Signers: Enter signers' names and emails and set signing order if required.
  • Execute: Signers authenticate, sign, and receive a copy with an audit trail.

Standard Digital Workflow Settings to Configure

Configure authentication, field behavior, and routing controls before sending the Code to minimize rework and preserve auditability.

Field Configuration
Authentication Email link or SMS code; use stronger methods for sensitive approvals
Routing Order Sequential or parallel signing as required by governance
Conditional Fields Show or hide sections based on prior answers to limit signer confusion
Audit Trail Enable IP, timestamp, and action logging for evidentiary support

Technical and Integration Considerations

Check platform compatibility with your existing systems and required security controls before using it for execution.

  • Integrations: Salesforce, NetSuite, Microsoft 365 integrations
  • File Formats: PDF, DOCX, and related export formats
  • Authentication: SSO and multi-factor options supported

Real-World Examples of the Code in Use

The following case notes illustrate adoption by organizations that combined governance with electronic execution and secure storage.

Martin Properties

A small real estate firm standardized its code to reduce in-person meetings and speed approvals.

  • Saved staff time on signature collection and recordkeeping.
  • Tim Martin, Founder: "I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently."

BIS

A services company aligned contracts and the corporate code to improve internal controls.

  • Streamlined audit preparation and policy enforcement.
  • Dan Rotelli, CEO: "We felt most comfortable with airSlate SignNow given their SOC 2 certification and strict focus on ESIGN and UETA act compliance."

Common Preparation Pitfalls to Avoid

  • Leaving signature blocks incomplete or omitting signer titles, which can create disputes over authority and timing.
  • Failing to set or record an effective date and version number, causing uncertainty about which rules govern a given period.
  • Using inconsistent naming or storage locations, which impedes retrieval during audits or legal proceedings.
  • Neglecting to specify reporting and investigation procedures, leaving whistleblower protections and confidentiality unclear.

Risks and Potential Consequences of Errors

Enforceability Risk: Ambiguous execution may render the document unenforceable
Regulatory Fines: Noncompliance can trigger fines or remedial orders
Reputational Harm: Publicized violations can damage stakeholder trust
Operational Disruption: Unclear procedures can delay investigations and decisions
Legal Costs: Correcting errors often requires attorney time and expense
Recordkeeping Gaps: Insufficient retention increases audit and litigation exposure

Typical Deadlines and Review Cadence

Set clear timelines for adoption, review, and signer response to keep the Code current and enforceable.

Adoption Effective Date:

Enter the date when the Code becomes binding for covered parties

Signer Response Window:

Recommend signers return signed Code within 30 days of distribution

Annual Review:

Conduct a formal review at least once every 12 months

Immediate Revision:

Trigger revision within 30 days for material legal or regulatory changes

Retention Start:

Retention periods begin on the effective date or execution date

Practical Tips for Accurate Completion and Maintenance

Adopt consistent operational practices to reduce errors and ease audits when using the Code across teams and systems.

Use Consistent Naming and Versioning
Apply a uniform title and version number each time you publish the Code so stakeholders and auditors can reliably identify the authoritative text.
Require Authorized Signatures
Restrict execution to designated signatory roles and record their name, title, and date to establish authority and reduce disputes.
Enable Audit Trails
Capture timestamps, IP addresses, and signer authentication events to support evidentiary needs for compliance or litigation.
Document Review History
Keep a change log describing material amendments and the approving authority to demonstrate governance and oversight.
