What the Business COH Document Is and When It’s Used

The Business COH Document is a formal record used by companies to state and verify current holdings, ownership interests, or asset custody for business purposes. It typically lists the entity name, tax identifier, specific assets or equity percentages, attestations by authorized signatories, and references to supporting exhibits. Organizations use it for internal governance, third‑party due diligence, lender requests, merger and acquisition processes, and regulatory reporting. The document serves as a concise, auditable snapshot of who controls specified business resources at a defined effective date.

Why a Clear Business COH Document Matters

A precise COH Document reduces legal ambiguity, speeds third‑party reviews, and supports tax and regulatory compliance while creating an auditable record of ownership and custody for stakeholders.

Why a Clear Business COH Document Matters

Who Typically Prepares and Reviews a Business COH Document

Several corporate roles handle COH Documents depending on context; below are common preparers and recipients.

  • Corporate secretary or legal counsel; prepares language, confirms exhibits, and ensures compliance with governing state law and corporate bylaws.
  • Chief financial officer or controller; verifies listed assets, ownership percentages, and supporting ledgers or statements.
  • Lenders, acquirers, and external auditors; request and rely on COH Documents during diligence, loan underwriting, or financial review.

Use this list to route preparation, review, and signature responsibilities to the correct internal or external parties.

Step-by-step: Completing a Business COH Document

Follow these sequential steps to prepare, validate, and finalize a compliant COH Document.

  • 01
Prepare: Gather entity details, EIN, asset descriptions, and supporting exhibits.
  • 02
Populate: Enter fields precisely and use MM/DD/YYYY for effective dates.
  • 03
Verify: Have finance or legal confirm numbers and attach evidence.
  • 04
Sign: Obtain authorized signatures, notarization if required, and retain audit trails.

Configuring an online COH workflow

Set up routing, authentication, and retention to match corporate policy and legal requirements before sending for signatures.

Field Configuration
Authentication Method Email link, SMS code, or KBA per risk level
Routing Order Sequential or parallel signer order
File Format PDF/A for long‑term retention
Retention Setting Auto‑archive and set retention schedule

Typical electronic signing flow for a COH Document

An efficient eSignature workflow reduces turnaround and preserves evidence of execution and consent.

  • Upload: Add the COH PDF and attach exhibits or ledgers.
  • Place Fields: Insert signature, date, and initials fields for each signer.
  • Authenticate: Verify signer identity using agreed method (email, SMS, or higher assurance).
  • Record: Capture audit trail, timestamp, and store a certified copy.

Core elements of a professional Business COH Document

Ensure the document contains clear structural components so recipients can rely on its statements and supporting evidence.

Document Title

A concise title identifying the form as a Business COH Document and the effective date so readers immediately understand its purpose and temporal scope.

Entity Details

Full legal name, business address, and EIN or TIN for the entity certifying holdings and for efficient matching with external records.

Detailed Holdings

Itemized list of assets or equity positions with identifiers, quantities, and any encumbrances to avoid later disagreement about what was certified.

Attestation Clause

A declaratory statement signed by an authorized officer attesting to the accuracy of listed holdings under penalty of law or corporate policy.

Signature Block

Printed name, title, signature, and date for each signer; include notary lines or witness blocks when required by jurisdiction or counterparty.

Exhibits and Exhibits Index

Attach supporting schedules, account statements, or ledger extracts and reference them in an index so reviewers can verify listed holdings quickly.

Security and compliance controls to include

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Audit Trail: Timestamp, IP, signer actions captured
Access Controls: Role-based permissions and SSO
HIPAA BAA: Available where PHI is present
21 CFR Support: Compliant options for FDA-regulated records
Data Residency: Configurable per enterprise needs

Key risks and legal consequences of errors

Incorrect TIN: Triggers IRS backup withholding
Misstated Ownership: Leads to contractual or litigation disputes
Late Filings: May incur IRC §6721 penalties
Insufficient Authentication: Questioned enforceability under ESIGN
Missing Notarization: Invalidates deeds or recordable instruments
Inadequate Retention: Fails regulatory discovery obligations

Common preparation errors to avoid

  • Omitting precise asset identifiers such as account numbers or parcel IDs, which forces manual follow-up and delays third‑party acceptance.
  • Using informal or abbreviated entity names that do not match official filings, causing banks or auditors to reject the document.
  • Failing to obtain or attach the underlying statements or ledgers that support ownership claims, weakening reliance by lenders or acquirers.
  • Not confirming signer authority before execution, risking post‑signing challenges or claims that signatures lacked delegation.

Timing considerations and related filing deadlines

Track effective dates, tax reporting, and retention triggers to avoid penalties and ensure timely disclosure to counterparties.

Provision of W-9:

Provide a completed W-9 upon payer request; no fixed statutory deadline.

1099-NEC / 1099s:

Information returns often due to recipients and IRS by Jan 31 for many forms.

Form 1040 Deadline:

Individual tax returns due April 15 (extension to Oct 15 possible).

I-9 Retention Rule:

Retain I-9 for 3 years after hire or 1 year after termination, whichever is later (8 CFR §274a.2).

Record Retention Start:

Retention clocks generally begin on the document effective date or filing date.
