What the Business COIS Document Is and why it matters

The Business COIS Document is a Certificate of Insurance prepared by an insurer or broker that summarizes a commercial policy’s essential terms, including the named insured, policy number, coverage types, limits, effective and expiration dates, and issuer contact information. It is commonly used to confirm that a business carries required liability, property, auto, or professional insurance. The COIS itself is evidence of coverage rather than the policy, and recipients often rely on it to satisfy contractual insurance provisions and risk-transfer obligations, such as Additional Insured endorsements or Waiver of Subrogation.

Why a clear Business COIS Document matters for contracts

A clear Business COIS Document lets contracting parties verify coverage quickly, meet insurance-related contract conditions, and reduce onboarding friction. It clarifies limits and effective dates so counterparties can assess risk exposure and confirm whether required endorsements or additional insured language are in place.

Why a clear Business COIS Document matters for contracts

Who typically requests or issues a Business COIS Document

The Business COIS Document is requested or issued across operational, legal, and procurement workflows when proof of insurance is required before work begins.

  • Vendors and subcontractors: Provide COIS to satisfy contract insurance clauses before starting work.
  • Property owners and landlords: Verify tenant liability, property, and umbrella coverages for lease compliance.
  • Risk managers and procurement teams: Collect and track COIS to manage vendor insurance portfolios.

Different stakeholders use the document to check compliance, manage vendor risk, and record insurance evidence for audits or claims.

Step-by-step: completing a Business COIS Document

Follow these essential steps to prepare and deliver a compliant Business COIS Document.

  • 01
Gather Policy Data: Collect insurer name, policy number, limits, and dates.
  • 02
Request Endorsements: Confirm Additional Insured or Waiver of Subrogation endorsements if contract requires them.
  • 03
Complete Certificate: Enter fields exactly, verify formatting, and attach endorsements if needed.
  • 04
Deliver and Record: Send to certificate holder and retain a copy for vendor files.

Typical COIS workflow from issuer to recipient

A standard workflow helps ensure the Business COIS Document reaches the right party with verifiable information and any required endorsements attached.

  • Broker Issues Certificate: Broker populates fields with insurer data and endorsements.
  • Recipient Reviews: Verify limits and endorsement language against contract requirements.
  • Request Corrections: If missing endorsements, request insurer or broker to reissue.
  • Archive for Audit: Store signed certificate and endorsements with contract records.

Core elements to include in a professional Business COIS Document

A professional COIS includes clear policy identifiers, explicit limits, and any endorsement text necessary to meet contract terms; include issuer contact details for verification.

Policy Identification

Complete policy number, issuer name, and NAIC or carrier identifier so the recipient can confirm coverage with the insurer directly and avoid ambiguity.

Coverage Summary

Summarize each coverage line—general liability, auto, workers’ compensation, professional liability—so reviewers quickly see which risks are insured.

Limits and Sublimits

State per-occurrence and aggregate limits numerically and identify any sublimits (e.g., per-project, per-location) that affect exposure.

Endorsements

Identify Additional Insured, Waiver of Subrogation, or primary/noncontributory language and attach insurer-issued endorsement forms when required by contract.

Certificate Holder

List the certificate holder exactly as in the contract, including legal entity and mailing address, to satisfy vendor or lease requirements.

Issuer Contact

Include broker or carrier contact name, phone, and email so the certificate holder can verify details or request certified copies of policy forms.

Security and compliance considerations for electronic COIS records

Practical tips to prepare a reliable Business COIS Document

Apply consistent formatting and verification checks to prevent processing delays and contractual disputes related to insurance coverage.

Validate names and addresses
Compare the named insured and certificate holder entries to the underlying contract and corporate records to prevent rejections and ensure the certificate maps correctly to the contracting parties.
Confirm endorsement language
Request insurer-issued endorsement forms for Additional Insured or Waiver of Subrogation rather than relying on certificate narrative; attached endorsements reduce interpretive disputes.
Track expiration dates
Monitor policy effective and expiration dates with reminders at least 30 days before renewal to avoid gaps in coverage that could breach contract requirements.
Keep verification records
Retain the issued certificate, endorsement attachments, and any insurer confirmations in the vendor file to support audits or claim defenses.

Timing guidance for issuing and renewing Business COIS Documents

Timely issuance and renewal management reduce contract risk and prevent work stoppages when proof of coverage is a precondition.

Request lead time:

Request COIS at least 7–14 days before contract start date.

Renewal notice:

Begin renewal verification 30 days prior to policy expiration.

Endorsement turnaround:

Allow 3–10 business days for insurer endorsement issuance.

Post-issuance corrections:

Expect 1–5 business days to reissue corrected certificates.

Cancellation notice:

Require immediate notice of policy cancellation or nonrenewal when contractually obligated.

Key risks when a Business COIS Document is incorrect or missing

Contract Breach: Possible termination
Claim Denial: Coverage dispute risk
Financial Exposure: Uninsured liability costs
Project Delays: Work stoppage risk
Regulatory Penalties: Fines in regulated sectors
Reputational Harm: Vendor trust erosion
