BUSINESS COLLABORATION AGREEMENT

WHEREAS, Party A: is engaged in the business of providing products and services as set forth herein; and

WHEREAS, Party B: has complementary capabilities and desires to collaborate with Party A on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

The parties will collaborate on the following activities and deliverables. Each party will perform the responsibilities allocated to it and cooperate in good faith to complete the tasks described below.

Responsibilities of the Parties

Each party shall perform its obligations in a professional manner and in compliance with applicable laws. Specific responsibilities include, but are not limited to:

Payment Terms

In consideration for the services and deliverables provided under this Agreement, the parties agree the compensation and payment procedure will be as follows.

All amounts payable under this Agreement are exclusive of taxes. Each party is responsible for its own taxes unless otherwise agreed in writing.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure the breach within thirty (30) days after written notice.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party will: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) limit access to Confidential Information to employees, contractors and agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein; and (c) not disclose Confidential Information to any third party without the Disclosing Party's prior written consent, except as required by law upon prior notice to the Disclosing Party.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Intellectual Property

Unless otherwise agreed in writing, each party retains all right, title and interest in its pre-existing intellectual property. Subject to full payment of amounts due, intellectual property created jointly in the performance of this Agreement shall be owned jointly by the parties, with each party granted a non-exclusive, royalty-free license to use jointly owned deliverables for internal business purposes. Specific ownership and licensing of deliverables shall be set forth in writing when applicable.

Indemnification and Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement. Except for liabilities arising from willful misconduct, gross negligence, or a party's breach of confidentiality or indemnification obligations, neither party's aggregate liability under this Agreement shall exceed the total fees paid by Party B to Party A under this Agreement during the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including any exhibits and schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

The parties are independent contractors. Nothing in this Agreement creates any partnership, joint venture, employment, or agency relationship between the parties. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
