What a Business Commencement Letter Is

A Business Commencement Letter is a formal written notice used to confirm the start of business operations, identify the legal entity, and set an effective commencement date. Typical recipients include banks, vendors, licensing authorities, landlords, and contract counter‑parties. The letter usually states the company name, formation or registration jurisdiction, employer identification number (EIN) or tax ID, principal business address, primary contact and title, and a brief description of intended activities. It serves as documentary proof that a business is active and able to enter contracts and open accounts.

Why a Business Commencement Letter Matters

A clear commencement letter establishes the company’s legal identity and start date, helping with bank onboarding, vendor setup, licensing, and early contracts while reducing friction in administrative and compliance processes.

Why a Business Commencement Letter Matters

Who Typically Prepares and Receives a Business Commencement Letter

Common preparers include company founders, corporate secretaries, outside counsel, and accounting teams; recipients often include banks, vendors, regulators, and landlords.

  • Founders and executives setting up banking and vendor relationships, needing a concise official statement of business start and authority.
  • Corporate or compliance officers supplying proof of commencement for licensing, permits, or registration with state and local agencies.
  • Attorneys or accountants preparing formal documentation to support financing, leases, or contractual counterparty requirements.

Use a Business Commencement Letter early in operations to avoid delays for bank accounts, supplier onboarding, insurance, and regulatory filings.

Simple step-by-step filling process

Follow these sequential steps to prepare a concise, compliant commencement letter that recipients can accept without follow-up.

  • 01
Assemble documents: Gather formation certificate, EIN confirmation, and operating agreement excerpts.
  • 02
Complete header: Add recipient, date, and subject line describing the purpose.
  • 03
State key facts: Provide legal name, formation state, EIN, address, and effective date.
  • 04
Sign and deliver: Authorized signer signs, then send via certified mail or secure eDelivery.

Typical delivery and processing flow

A common workflow moves from letter preparation through verification to acceptance by recipients; each step should leave a clear record.

  • Prepare letter: Draft and verify entity details against formation documents.
  • Attach evidence: Include formation certificate and EIN confirmation where required.
  • Sign and notarize: Signatory signs; notarize if recipient requires notarization or verification.
  • Deliver and confirm: Send via secure channel and request receipt or acceptance confirmation.

Configuring a digital workflow for the letter

Set up fields and routing rules before sending to automate verification and audit capture.

Field Configuration
Legal name field Mandatory text field; enable exact-match validation where possible
EIN field Masked numeric field; require nine digits
Signature field Require signer name and date with audit trail
Attachments Require PDF uploads for formation certificate and EIN letter

Delivery channels and technical needs

Choose delivery methods that meet recipient verification and record retention requirements.

  • Email with audit: Secure email that captures timestamp and sender IP for evidence
  • Registered mail: Certified or overnight delivery for recipients that require physical originals
  • eSignature platforms: Use platforms that provide tamper-evident PDFs and audit trails

Match the channel to recipient expectations: banks and regulators often accept e-signed, audited PDFs, while some counter-parties may require originals or notarization.

Key components to include in a professional letter

A concise Business Commencement Letter should include identity details, effective date, evidence attachments, signatory authority, purpose statement, and preferred contact and delivery directions.

Entity details

Full legal name, formation jurisdiction, entity type, and registration reference or filing number where available.

Start date

Explicit effective date in MM/DD/YYYY format showing when business operations or authority commence.

Proof attachments

Attach formation certificate, EIN confirmation (IRS CP 575 or SS-4 acknowledgement), and any relevant licenses.

Authorized signer

Name, title, and a brief statement of authority referencing corporate resolution or operating agreement if needed.

Purpose

One-sentence description of why the letter is issued (bank account, vendor onboarding, lease execution, licensing).

Contact instructions

Provide a named contact, phone, and secure email for follow-up and verification.

Security and compliance elements to include

Audit trail: Include digital audit metadata where signed electronically
Tamper evidence: Use tamper-evident PDF delivery when possible
Data minimization: Only include necessary identifying details
Access controls: Limit distribution to authorized recipients
HIPAA note: Use BAA when including protected health information
Record retention: Store signed letter with formation records and contracts

Common pitfalls to avoid

  • Using an informal or incomplete name that mismatches formation records and delays bank acceptance.
  • Omitting EIN or providing an incorrect TIN, which can trigger backup withholding or account setup denial.
  • Failing to attach formation or EIN evidence, leading recipients to request additional documentation.
  • Not documenting signatory authority, which can result in disputes about who may bind the company.

Risks and potential consequences of errors

Banking delays: Missing or mismatched details can prevent timely account opening
Vendor rejection: Vendors may decline onboarding without valid formation evidence
Regulatory noncompliance: Incorrect filings may trigger fines or license denials
Contract disputes: Unclear signatory authority can void agreements or cause litigation
Tax exposure: Incorrect TINs can result in backup withholding or IRS notices
Operational delays: Administrative gaps slow hiring, leasing, and procurement processes

Timing considerations and typical deadlines

Plan your letter and attachments to meet recipient timelines; some processes (banking, licensing) have internal turnaround expectations.

Bank account opening:

Expect 3–10 business days after proper documents are submitted

Vendor onboarding:

Often 5–15 business days depending on vendor checks

License processing:

Varies widely by agency; some require immediate proof upon application

Lease execution:

Landlords may require certified proofs prior to key release

Contract performance:

Do not begin obligations until formal acceptance of the letter where required
