TERM AND TERMINATION

Either party may terminate this agreement for material breach by the other party if the breaching party fails to cure such breach within the stated notice period. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential. Each party shall: (a) use Confidential Information only for the purposes of evaluating and implementing the comments described herein; (b) restrict disclosure to employees, agents, or contractors who have a need to know and who are bound to maintain confidentiality; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was known to the receiving party prior to disclosure, or is independently developed without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Business Comments Form shall be governed by and construed in accordance with the laws of the Governing State/Province: without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of this Form.

ENTIRE AGREEMENT

This Business Comments Form, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
