BUSINESS COMMITMENT FORM

Parties

This Business Commitment Form (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Party A is engaged in the business of and possesses the expertise and resources necessary to perform the services described below;

WHEREAS, Party B desires to secure Party A's commitment to perform specified activities and to compensate Party A in accordance with the Payment Terms set forth herein;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, the parties agree as follows:

Party A shall perform the following services and deliverables in a professional and workmanlike manner consistent with industry standards:

Payment Terms

In consideration for the services described in the Scope of Work, Party B shall pay Party A the fees set forth below. All amounts are exclusive of applicable taxes unless otherwise stated.

Any undisputed amount not paid within days after the due date shall accrue interest at the rate of or the maximum rate permitted by law, whichever is less. Party B shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by Party A for collection of overdue amounts.

Term and Termination

This Agreement commences on and will continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure a material breach within days after receipt of written notice specifying the breach.

Confidentiality

The parties acknowledge that in the course of performance they may receive Confidential Information. "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (i) hold Confidential Information of the other in strict confidence; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, agents or contractors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein.

Confidentiality obligations shall continue for a period of years following termination or expiration of this Agreement, except with respect to trade secrets, for which protection shall continue as provided by applicable law.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into and perform this Agreement, that the execution and performance of this Agreement will not violate any other agreement by which it is bound, and that it will comply with all applicable laws in performing its obligations hereunder.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved by the state or federal courts located in the county in which the governing state has jurisdiction, and the parties submit to the exclusive jurisdiction of such courts.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of its representations, warranties or obligations under this Agreement, except to the extent such claims result from the indemnified party's gross negligence or willful misconduct. EXCEPT FOR LIABILITY ARISING FROM A BREACH OF CONFIDENTIALITY OR THIRD-PARTY INDEMNITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY SHALL BE LIMITED TO THE AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Entire Agreement

This Agreement, including any schedules or appendices attached hereto and any written amendments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets, provided that the assignee assumes the assigning party's obligations under this Agreement.
