What a Business Commitment Sheet Is and when it matters

A Business Commitment Sheet is a concise record that documents a party's formal promises about goods, services, timelines, payment terms, and responsibilities before a full contract is executed. It typically summarizes key commercial terms such as scope of work, price, delivery milestones, acceptance criteria, and conditions precedent. Organizations use it to align internal approvals, provide suppliers or clients with a written summary of expectations, and capture mutual intent where speed is important. The sheet is not always a final contract but can form the basis for one and may be relied on in negotiations or procurement workflows.

Why use a Business Commitment Sheet

A clear commitment sheet reduces ambiguity, shortens negotiation cycles, and creates an auditable record of agreed commercial points before drafting a full agreement.

Why use a Business Commitment Sheet

Who prepares and reviews a Business Commitment Sheet

Teams that commonly prepare these sheets include procurement, sales, project managers, and legal reviewers seeking a succinct summary of negotiated terms.

  • Procurement and purchasing teams: Capture vendor proposals, pricing, delivery windows, and approval conditions in one place for purchasing records.
  • Sales and account managers: Record client commitments, payment schedules, and milestones to align expectations before contract signature.
  • Project managers and operations: Translate commitment terms into project plans, resource allocations, and acceptance criteria for execution.

Use the sheet to communicate decisions internally and to document consensus with external counterparties prior to contract drafting.
