Each party agrees: (a) to hold the other party's Confidential Information in strict confidence; (b) to use Confidential Information solely to perform obligations under this joint letter; and (c) not to disclose Confidential Information to any third party except to those employees, agents, or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets.

Nothing in this section shall restrict disclosure required by law or valid legal process, provided the disclosing party gives prompt written notice to the other party and cooperates reasonably in any lawful attempt to limit disclosure.

Each party represents and warrants that it has full corporate power and authority to enter into this joint letter, that the execution and delivery of this joint letter has been duly authorized, and that its execution does not violate any other agreement to which it is a party.

This joint letter shall be governed by and construed in accordance with the laws of the jurisdiction specified above, without regard to conflict of law principles.

Entire Agreement
