BUSINESS COMMUNICATION LR LETTERS

This Business Communication Letter of Engagement (the "Agreement") is entered into as of Effective Date: Month Day Year by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires preparation, drafting, review, and delivery of business communication letters, responses, and related correspondence (collectively, "LR Letters") for use in commercial and regulatory communications; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources to prepare and deliver LR Letters in accordance with Client's requirements and industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide LR Letter services to Client.

SCOPE OF WORK

Service Provider shall prepare, review, edit, and deliver LR Letters as described below. All deliverables shall conform to the specifications and schedules agreed in writing between the parties.

PAYMENT TERMS

Client agrees to compensate Service Provider for the services and deliverables described above in accordance with the terms below.

Service Provider may require a retainer. If checked, retainer amount:

TERM AND TERMINATION

This Agreement shall commence on Start Date: Month Day Year and, unless earlier terminated in accordance with this Agreement, shall continue until End Date: Month Day Year .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public, proprietary or confidential information (collectively, "Confidential Information") disclosed by the other party (the "Disclosing Party") in connection with this Agreement. Confidential Information does not include information which: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) is already known to the Receiving Party at the time of disclosure as evidenced by written records; (c) is lawfully obtained from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to the extent required by applicable law or valid order of a court or governmental authority, provided that, to the extent permitted, the Receiving Party provides prompt written notice to the Disclosing Party and cooperates reasonably with any efforts to limit or contest such disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in that State.

LIMITATION OF LIABILITY

Except for breaches of confidentiality and willful misconduct, neither party shall be liable to the other for any indirect, incidental, consequential, special or exemplary damages, including lost profits, arising from or relating to this Agreement, even if advised of the possibility of such damages. Each party's aggregate liability for claims arising out of this Agreement shall not exceed the fees paid by Client to Service Provider under this Agreement in the six (6) months preceding the claim.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or statements of work incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. This Agreement may be amended only by a written instrument signed by duly authorized representatives of both parties.

All notices, requests, consents and other communications required or permitted under this Agreement must be in writing and sent to the addresses set forth above or to such other address as either party may designate in writing.
