This Business Communication Template (the Agreement) is entered into as of between Company Name: , a business organized to perform communications and advisory services, and Recipient Name: .

Recitals

WHEREAS, Company has expertise in preparing and delivering formal business communications, including but not limited to client notices, internal announcements, and strategic correspondence; and

WHEREAS, Recipient desires to retain Company to prepare one or more communications described herein and to engage Company under the terms set forth below; and

WHEREAS, the parties intend for this Agreement to set forth the scope, compensation, confidentiality obligations, term and governing law applicable to the engagement.

Scope of Work

Company shall prepare and deliver communications as described below. The scope includes drafting, revising, and delivering final communications in the agreed format and within the agreed schedule. Specific tasks, deliverables, and acceptance criteria are as follows:

Payment Terms

In consideration for the services described in the Scope of Work, Recipient shall pay Company the fees and reimbursements set forth below.

All amounts are payable in U.S. dollars unless otherwise agreed in writing. Recipient shall pay undisputed invoices within the period set out in Payment Schedule. Failure to timely pay undisputed amounts shall permit Company to suspend performance after reasonable notice and to charge interest as set forth above.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if such breach is not cured within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Recipient of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means all non-public information disclosed by either party to the other, whether oral, written, electronic, or embodied in tangible materials, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, drafts of communications, financial information, and client lists.

Each party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own similar information but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors, or advisors with a need to know and subject to confidentiality obligations at least as protective as those in this Agreement. Obligations under this Section shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets which shall remain protected for so long as such information constitutes a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of laws doctrines.

Entire Agreement

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Each party represents and warrants that it has the full power and authority to enter into and perform this Agreement. Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
