What a Business Communications Agreement Covers

A Business Communications Agreement defines how parties exchange, secure, and manage business-related messages and notices. It typically covers permitted channels (email, SMS, portal), consent and opt-out procedures, confidentiality and permitted disclosures, notice delivery mechanics, record retention, and escalation for disputes. The agreement documents responsibilities for sender authentication, third-party processors, and data protection measures designed to align operational practice with legal frameworks such as ESIGN, UETA, and industry-specific rules like HIPAA where applicable.

Why a Formal Communications Agreement Matters

A Business Communications Agreement clarifies consent, delivery expectations, and security controls. It supports enforceability under ESIGN and UETA, reduces disputes over notice delivery, and documents responsibilities for privacy, retention, and authentication across commercial relationships.

Why a Formal Communications Agreement Matters

Who Typically Completes This Agreement

Common users include contracting parties, procurement teams, compliance officers, and IT staff responsible for electronic communications and consent.

  • Small and midsize businesses managing vendor notices, order confirmations, and service-level communications electronically.
  • Enterprise procurement and legal teams centralizing notice procedures and tracking consent across multiple jurisdictions.
  • Healthcare and financial firms coordinating confidential updates where HIPAA or IRS rules affect electronic delivery.

Identify signatory roles and responsible departments before execution to ensure authorized signers and proper routing under the agreement.

Essential Sections to Include

Organize the agreement into clear sections so parties understand scope, consent, authentication, confidentiality, retention, and dispute handling in communications workflows.

Scope

Specify covered message types, participating entities, excluded communications, and the channels (email, SMS, portal) authorized for transactional and operational notices, including emergency alerts, marketing exclusions, and third-party processors.

Consent

Describe consent capture methods, retention of opt-in records, opt-out procedures, consumer disclosure requirements per ESIGN, and how parties demonstrate ongoing consent for electronic delivery and audit log evidence.

Authentication

Define signer and recipient authentication levels (email, SMS OTP, KBA, or PKI), escalation steps for unverified addresses, and responsibilities for maintaining accurate contact information and audit timestamps.

Confidentiality

Include nondisclosure obligations, permitted disclosures to service providers, security controls for message content, and procedures for handling data breaches affecting communications records with notice timelines and mitigation responsibilities.

Retention

Set retention schedules for sent and received communications, specify archival formats, and align periods with IRS, HIPAA, and company records policies including disposition and legal hold procedures.

Dispute Resolution

Define notice procedures, escalation paths, cure periods, governing law selection, and whether arbitration or courts resolve communication-related disputes, including venue and interim relief options.

Minimum Security and Compliance Elements

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest

  • Relying on image-only signatures without an audit trail may weaken evidentiary value despite appearing signed on the document itself.

Penalties and Primary Risks

Invalid Notices: Legal unenforceability risk
Regulatory Fines: HIPAA, IRS penalties possible
Contract Disputes: Delay, termination, or damages
Operational Delays: Missed notifications cause disruption
Audit Exposure: Failure to produce records
