What the Business Companion Document Is and When It’s Used

A Business Companion Document is a structured package that accompanies a primary business filing or agreement and provides context, instructions, and supporting data for reviewers and signers. It typically includes a cover summary, a checklist of required attachments, contact and version information, and any declarations needed to validate the main document. Organizations use companion documents to make reviews faster, reduce follow-up questions, and ensure required supporting information—such as payment details, authorization references, or compliance statements—is present before submission to third parties or regulators.

Why a Companion Document Matters for Accuracy and Compliance

A well-prepared Business Companion Document reduces processing delays, lowers the risk of missing items, and documents the preparer’s intent and authority. It helps downstream reviewers locate key facts, speeds approvals, and creates an auditable trail that supports compliance obligations under ESIGN and UETA when records are delivered electronically.

Why a Companion Document Matters for Accuracy and Compliance

Who Prepares and Who Relies on a Business Companion Document

Teams that prepare or review formal business filings typically assemble companion documents to standardize submissions and reduce rework.

  • Internal legal, contracts, or compliance teams who need a single, consolidated file for review and retention.
  • Finance and accounting departments submitting invoices, grants, or tax-related packages to external payers.
  • External reviewers such as banks, escrow agents, or government clerks who prefer a consistent package format.

Using a consistent companion template across the organization improves reviewer efficiency and creates a single point of reference for audits and record retention.

Essential Parts of a Professional Business Companion Document

A practical companion document balances brevity and completeness. Include a clear summary, a required-items checklist, signatory and contact details, version control, signature instructions, and a list of attached documents so recipients can validate the package quickly.

Summary

One-paragraph description of the filing purpose, parties involved, and what the reader must do; helps reviewers understand the context in a single glance.

Checklist

A numbered list of required attachments and fields with status flags (attached/missing) so receivers can immediately confirm completeness before processing.

Contact Details

Name, role, phone and email for the preparer and for escalation; include timezone and preferred hours to reduce back-and-forth.

Version & Date

Document version number, effective date, and change log of edits to preserve an audit trail and avoid confusion between drafts.

Signature Instructions

Specify signing order, whether eSignature is permitted, authentication methods, and any notarization or witness requirements the recipient should expect.

Attachments Index

A labeled list of all included exhibits and supporting files with file names and brief descriptions to speed reviewer navigation.

Step-by-Step: Prepare and Complete the Companion Package

Follow these steps in order to assemble a complete, review-ready Business Companion Document.

  • 01
Gather Materials: Collect the primary filing, contracts, invoices, and any required certificates before starting.
  • 02
Populate Fields: Complete each fillable field accurately using standardized formats and spell-check.
  • 03
Confirm Attachments: Attach labeled exhibits listed in the checklist; confirm file integrity and legibility.
  • 04
Sign and Date: Follow the specified signing order and authentication method; include witness or notarization details if required.

How Electronic Submission and eSigning Typically Flow

A typical eSubmission workflow reduces paper handling and records all actions for auditability. These core steps describe what recipients will see.

  • Upload: Sender uploads primary document and companion package into the eSubmission system.
  • Tag Fields: Sender places signature, date, and data fields so signers know where to act.
  • Authenticate: Signers authenticate per the requester’s chosen method (email, SMS code, KBA).
  • Complete: Signed copies and an audit trail are generated and stored for distribution and retention.

Configuring an Online Workflow for Companion Submissions

When automating companion packages, set these core workflow fields to reduce manual steps and ensure consistent processing.

Field Configuration
Signing Order Sequential or parallel signer routing
Authentication Email, SMS code, or knowledge-based verification
Attachments Required Enforce checklist items before send
Audit Trail Enable full event logging and downloadable certificate

Technical Options for Sharing and Signing the Companion Document

Choose delivery and signing methods based on security needs, signer access, and compliance requirements.

  • Email Link: Simple distribution for low-sensitivity documents
  • Authenticated eSignature: Stronger signer identity through SMS or KBA
  • API / Integration: Automated routing through CRM or ERP systems

Integration choices should match your retention, audit, and privacy obligations; consider platforms that support encrypted storage and immutable audit logs.

  • Failing to include version history or change logs undermines auditability and complicates dispute resolution if multiple drafts exist.

Practical Tips for Accurate, Efficient Companion Packages

Adopt these practices to reduce processing time and strengthen legal defensibility of your submissions.

Standardize Templates
Use a single, controlled template with versioning and mandatory fields to eliminate ad hoc formats and missing information in packages.
Use Clear File Names
Name attachments with the date, document type, and version (e.g., 2026-08-01_Invoice_RevA.pdf) to aid reviewers and automated indexing.
Capture Consent
For consumer-facing transactions, include ESIGN-required disclosure language and retain an auditable record of consent to electronic delivery.
Preserve Audit Trails
Ensure the chosen submission method records timestamps, IP addresses, and signer actions to support attribution and retention rules.
