What a Business Company Confirmation Is

A Business Company Confirmation is a written statement from an organization that verifies core corporate details — legal entity name, formation state, taxpayer identification (EIN), principal address, and the identity and authority of the person signing on the company’s behalf. It is used by banks, vendors, auditors, and counterparties to establish identity and authority during onboarding, contract execution, or compliance checks. The confirmation can be a standalone letter, an affidavit, or a structured form and may be executed electronically under U.S. e-signature law when the parties satisfy ESIGN and applicable state requirements.

Why a Formal Confirmation Matters

A clear company confirmation streamlines onboarding, reduces follow-up requests, and provides evidence of signer authority and entity details for compliance and audit purposes. It minimizes operational delays when counterparties or financial institutions need verified corporate facts.

Why a Formal Confirmation Matters

Who Commonly Requests or Completes These Confirmations

Several organizations routinely request Business Company Confirmations during onboarding and compliance screening.

  • Banks and financial institutions for account opening, KYC, and ACH setup.
  • Vendors and procurement teams to validate purchaser identity and payment details.
  • Auditors, legal counsel, and title agents for due diligence and contract compliance.

Use the appropriate format and supporting documents for the requesting party to avoid delays or additional verification steps.

Who Signs and What Their Role Means

CEO / President

An executive signer's signature typically confirms both identity and corporate authority. Provide corporate formation records or a board resolution if the signer is not the named officer in governing documents.

Authorized Representative / CFO

A finance or stewardship officer often signs for banking and tax confirmations; include a corporate resolution, power of attorney, or an officer affidavit showing delegation of authority when requested.

Core Elements to Include in a Professional Confirmation

A formal confirmation should be concise, factual, and include documentary references so recipients can verify assertions without additional follow up.

Legal Name

Provide the entity’s exact legal name as shown on formation documents and IRS records to avoid TIN mismatches or onboarding rejections.

Tax ID (EIN)

List the EIN in full. An incorrect or missing EIN can trigger backup withholding or delay vendor setup.

Formation Details

State the formation state and date of formation and reference the filing or incorporation document used to register the entity.

Principal Address

Include a full street address (city, state, ZIP). P.O. boxes are often insufficient for legal or tax validation.

Signer Authority

Identify the signer’s name and title and attach a corporate resolution, bylaws excerpt, or other proof of authority when requested.

Supporting Docs

Attach formation certificates, operating agreements, EIN confirmation letters, and any power-of-attorney or resolution that corroborates the statements.
