Recitals

WHEREAS, Party A is engaged in the business of providing services and solutions related to business operations and desires to retain Party B to perform certain services described herein; and

WHEREAS, Party B represents that it has the expertise, personnel, and resources necessary to perform the services in a professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Party B will perform services for Party A effective as of (the "Effective Date").

Scope of Work

Party B shall perform the services described below and any deliverables specified. Party B shall perform all tasks in a timely, workmanlike manner consistent with industry standards.

Payment Terms

Compensation for the services will be as set forth below. All amounts are in the currency of payment agreed by the parties and exclude applicable taxes unless otherwise stated.

This Agreement commences on the Start Date set forth below and continues until the End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon giving written notice to the other party no fewer than days prior to the effective termination date. Termination for material breach is permitted where the breaching party fails to cure such breach within days after receipt of written notice of the breach.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no fault of the receiving party; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure of Confidential Information to employees, contractors, and advisors with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (iii) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. The obligations in this section shall survive termination of this Agreement for years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Each party consents to the exclusive jurisdiction and venue of the state and federal courts located in that state for disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement without consent to a successor in interest in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
