GENERAL BUSINESS AGREEMENT

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Business Company Limited shall perform the services and deliverables described below. The parties may amend the Scope of Work only by a written amendment signed by authorized representatives of both parties.

Payment Terms

In consideration for the performance of the Scope of Work, Counterparty shall pay Business Company Limited in accordance with the following terms.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice describing the breach.

Confidentiality

The parties acknowledge that in connection with this Agreement each may receive Confidential Information of the other party. "Confidential Information" means non-public information designated as confidential or which a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) limit disclosure to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Confidential Information does not include information that: (i) is or becomes publicly available other than through a breach of this Agreement; (ii) was lawfully in the receiving party's possession before receipt from the disclosing party; (iii) is independently developed by the receiving party; or (iv) is rightfully obtained from a third party without breach of any obligation of confidentiality.

Representations and Warranties

Each party represents and warrants that it has the full legal right, power and authority to enter into and perform its obligations under this Agreement. Business Company Limited warrants that services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or a breach of confidentiality, neither party shall be liable to the other for any consequential, incidental, special or punitive damages, and aggregate liability shall be limited to direct damages not to exceed the total amount paid under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to principles of conflicts of law. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes.

Entire Agreement; Amendment

This Agreement, including any exhibits and attachments incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice. Notices are effective upon receipt.

Severability

If any provision of this Agreement is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to substitute a valid provision that most closely approximates the intent and economic effect of the invalid provision.
