What the Business Company Naming Template Is

The Business Company Naming Template is a structured worksheet that captures proposed legal names, DBAs (doing business as), and trade names for new or existing entities. It guides availability checks at the state Secretary of State, documents USPTO trademark searches, records preferred and alternate names, and captures internal approvals, filing plans, and effective dates to support accurate state filings and future registrations.

Why a Naming Template Matters

A consistent naming template reduces filing errors, documents due diligence (state and trademark searches), and centralizes approvals so registrations proceed without avoidable rework or inaccurate filings.

Why a Naming Template Matters

Who Typically Uses This Template

Founders, corporate formation teams, in-house counsel, and small-business owners use this template to document name choices, checks, and approvals.

  • Startups and new LLCs documenting proposed legal names before Secretary of State filings.
  • Existing corporations recording DBAs or trade names for branding and tax reporting.
  • Legal or finance teams conducting trademark clearance and consistency checks across registrations.

Use the completed template as a filing checklist and internal record to support state registrations and trademark filings.

Core Sections Included in the Template

Six core sections ensure legal, administrative, and trademark considerations are captured consistently across name-selection workflows and filings, including availability searches, jurisdiction notes, and approval signatures.

Name Proposal

Record the full legal name, preferred trade name or DBA, and alternate spellings. Include punctuation and diacritical marks exactly as they should appear on state records and public filings.

Entity Type

Specify entity form (LLC, Corporation, Partnership, Sole Proprietorship) and state of formation. Entity choice affects naming rules, reserved words, and filing requirements.

Availability Check

Document results of state Secretary of State name search, federal USPTO trademark clearance, and domain name availability. Include dates and search queries used.

Jurisdiction Notes

Note state-specific restrictions such as required designators (LLC, Inc.), prohibited words, and whether a DBA or fictitious name registration is needed.

Approvals

List required approvers, positions, dates, and signatures. Include board resolution or member consent references when applicable to document internal authorization.

Filing Plan

Specify where to file (state SOS office), filing method (online/paper), estimated fees, filing timeline, and assigned responsible party for submission.

Step-by-Step: From Idea to Filed Name

Follow these steps to choose, verify, document, and prepare the name for filing with the appropriate state agency.

  • 01
Draft Name: List preferred name and alternates.
  • 02
Search Availability: Check state SOS, USPTO, and domain.
  • 03
Record Results: Capture search screenshots and dates.
  • 04
Approve & File: Get sign-offs and submit filing online or by mail.

Configure an Online Naming Workflow

Configure an online template to auto-populate fields, collect signatures, route approvals, and attach search evidence.

Essential Data Elements to Capture

Full Legal Name: Exact entity name as filed with SOS
Entity Type: LLC, Corporation, Partnership, or Sole Proprietor
State of Formation: State where entity is being registered
DBA / Trade Name: Alternate operating names, if applicable
Trademark Status: USPTO search results or registration numbers
Effective Date: MM/DD/YYYY; controls legal priority

Common Mistakes to Avoid

  • Skipping USPTO search and later encountering trademark conflicts that force costly rebranding or legal challenges.
  • Using prohibited or restricted words in a name, causing state filing rejection and delays and resubmission.
  • Not documenting approval authorities or resolutions, leaving registrations vulnerable to internal disputes later.
  • Submitting mismatched names across filing forms, trademark applications, and bank accounts leading to processing errors.

Consequences of Incorrect or Incomplete Naming Records

Filing Rejection: State may reject or return filing
Delayed Operations: Business unable to transact until corrected
Trademark Risk: Infringement claims under Lanham Act (15 U.S.C. §1125)
Financial Risk: Banking inconsistencies and account setup delays
Rebranding Costs: Expense to rename and update materials
Compliance Audit: Recordkeeping gaps noted in audits

Practical Tips for Accurate and Efficient Completion

Follow these practical practices to reduce rework and legal exposure when selecting and filing a business name.

Run multi-jurisdiction trademark and state searches
Perform USPTO federal trademark searches, relevant state trademark registries, and internet domain searches before finalizing a name. Document search queries, dates, and screenshots to support due diligence and reduce later infringement risk or filing rejections.
Standardize naming format across filings and accounts
Use the exact legal name, including punctuation and corporate designator, across all filings, bank accounts, licenses, and tax forms to avoid mismatches. Update internal templates and notify finance, compliance, and IT teams to enforce consistency.
Record approvals and board/member resolutions
Secure and retain written approvals: board minutes, member consents, or corporate resolutions authorizing the name choice. Include signatures, dates, and references to filings to provide clear authority and prevent internal disputes during registration or audits.
Plan filing sequence and recordkeeping
Decide whether to reserve a name, file articles, register a DBA, and then apply for trademark protection. Keep a filing log with fees, confirmation numbers, receipt copies, and assigned responsible parties to streamline audits and future transfers.
