WHEREAS, Client is engaged in the business described below and seeks to retain Service Provider to perform certain services in furtherance of Client's business objectives; and

WHEREAS, Service Provider possesses the expertise, personnel, and resources necessary to perform the services set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Service Provider will perform the services described below for Client. The services shall be performed in a professional manner consistent with industry standards and in accordance with the schedule agreed by the parties.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the performance of the Scope of Work. All payments shall be made in U.S. dollars unless otherwise agreed in writing.

If Client fails to pay any undisputed invoiced amount when due, Service Provider may suspend performance after providing written notice and a ten (10) day opportunity to cure. Client shall reimburse Service Provider for all reasonable costs of collection, including attorneys' fees.

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this section.

Confidentiality

"Confidential Information" means all nonpublic information disclosed by one party to the other, whether oral or written, that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees: (a) to hold Confidential Information in strict confidence; (b) not to disclose Confidential Information to any third party without prior written consent; and (c) to use Confidential Information solely for performance of this Agreement. The foregoing obligations do not apply to information that is publicly known, rightfully received from a third party without restriction, or independently developed without use of Confidential Information.

Upon termination or expiration of this Agreement, each party shall promptly return or destroy Confidential Information of the other party and certify in writing that such destruction or return has occurred, except as required to be retained by applicable law or for reasonable archival purposes.

Representations and Warranties

Each party represents and warrants that it has the full right, power, and authority to enter into and perform under this Agreement and that the execution of this Agreement by such party does not violate any other agreement by which it is bound.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.
