Confidentiality

Recipient shall (a) use Confidential Information solely for evaluation or performance under this Agreement, (b) restrict disclosure to employees or advisors with a need to know and subject them to confidentiality obligations no less protective than those herein, and (c) not disclose Confidential Information to third parties without prior written consent. The confidentiality obligation shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of that jurisdiction for disputes arising under this Agreement.
