Recitals

WHEREAS, Organizer conducts and administers a business competition known as the "" for the purpose of promoting small business growth, innovation, and market exposure; and

WHEREAS, Partner provides sponsorship, prizes, administrative support, or judging services for the Competition and agrees to the procedures set forth in this Agreement; and

WHEREAS, the parties desire to establish a formal leaderboard and related rules to determine rankings, points allocation, and award disbursement during the Competition's operative period beginning on .

Scope of Work

Organizer shall create and maintain a public leaderboard that ranks participating businesses according to performance metrics established by the parties. The leaderboard shall include ranking, current points, prize eligibility, and short notes about each entry. Organizer will tabulate results, verify scoring, and publish official standings at intervals described in the Payment Terms below. Partner shall cooperate in prize fulfillment and dispute resolution.

The leaderboard below records official rankings. Organizer is responsible for maintaining accurate records and updating standings promptly. Points awarded are final unless adjusted pursuant to the Competition's published dispute process.

Payment Terms

Partner shall provide funding for prizes and administrative costs as set forth below. Organizer will invoice Partner in accordance with the schedule and amounts below. Payments not received by the due date shall incur the stated late fee and may result in suspension of prize distribution until cured.

Term and Termination

This Agreement shall commence on and continue until , unless earlier terminated in accordance with this Section.

Either party may terminate for material breach that is not cured within the notice period set forth above. Termination does not relieve either party of obligations accrued prior to termination, including payment obligations and prize distribution for confirmed winners.

Confidentiality

Each party acknowledges that in performing under this Agreement it may receive Confidential Information of the other party. Confidential Information means non-public business information, scoring algorithms, participant personal data, financial terms, and prize arrangements. Each party shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information except to employees, contractors, or professional advisors with a need to know and bound by similar confidentiality obligations.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of . Any dispute arising out of or relating to this Agreement shall be resolved by the dispute resolution process selected below.

Entire Agreement

This Agreement, together with any written attachments or schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings, whether written or oral. Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets, provided that such successor assumes the obligations of the assignor.
