Confidentiality

Confidential Information does not include information that (a) is or becomes publicly known through no breach by the receiving party, (b) is rightfully received from a third party without restriction, or (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder; that the execution and delivery of this Agreement has been duly authorized by all necessary corporate or other action; and that its performance will not violate any agreement or law applicable to it.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Except for liability arising from gross negligence, willful misconduct, or a breach of confidentiality, neither party's aggregate liability under this Agreement shall exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

Dispute Resolution

The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If negotiation fails, the parties agree to submit the dispute to mediation before pursuing any other remedies. If mediation is unsuccessful, either party may pursue any available legal or equitable remedies in a court of competent jurisdiction.

Entire Agreement

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Notices: All notices required or permitted hereunder shall be in writing and delivered to the addresses provided above or to such other address as either party may designate by notice to the other.
