RECITALS

WHEREAS, Client is the owner or authorized transferee of the business operating under the name Business Name: (the Business), and wishes to document final completion, transfer of assets, or operational handover as described below;

WHEREAS, Completing Party has performed or will perform the acts, deliver the deliverables, and satisfy the conditions required for final completion of the Business as set forth in this Agreement, and Client and Completing Party desire to set forth the terms, payment, and closing conditions related to such completion; and

WHEREAS, the parties intend that, upon satisfaction of the conditions set forth in this Agreement and receipt of any required payments, the obligations described herein shall be deemed completed and the parties released as provided herein.

Payments shall be due within days of invoice unless otherwise specified. A late fee of per month (or the maximum lawful rate if lower) shall accrue on overdue amounts.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Termination for convenience by either party requires days' prior written notice and payment for all work performed to the date of termination.

CONFIDENTIALITY

For the purposes of this Agreement, Confidential Information means all non-public, proprietary, or business information disclosed by either party to the other in any form, including but not limited to financial data, customer lists, operational procedures, trade secrets, and transition plans. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to its employees or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years.

WARRANTIES; INDEMNIFICATION

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement. Completing Party warrants that the work will be performed in a professional manner consistent with industry standards. Each party agrees to indemnify, defend, and hold harmless the other party from and against any losses, claims, liabilities, or expenses arising from the indemnifying party's breach of this Agreement, gross negligence, or willful misconduct.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by binding arbitration in the county in which Client's principal place of business is located, or by the forum agreed in writing by the parties.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements, understandings, and negotiations, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or successor in connection with a merger or sale of substantially all assets.
