RECITALS

NOW, THEREFORE, in consideration of the mutual covenants contained in this document, the parties agree as follows.

CONFIDENTIALITY

Each party shall maintain as confidential all proprietary or non-public information disclosed by the other party in connection with this Agreement ("Confidential Information") and shall not disclose such Confidential Information to third parties except as required by law or with the prior written consent of the disclosing party. Confidential Information does not include information that (i) is or becomes publicly known through no breach of this Agreement, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed without use of the other party's Confidential Information.

Upon termination or expiration of this Agreement, each party shall return or destroy the other party's Confidential Information and certify in writing that such return or destruction has occurred, except for one archival copy retained solely for recordkeeping and regulatory compliance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located within that state.

ENTIRE AGREEMENT

This document, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, representations, and understandings. Any modifications must be in writing and signed by authorized representatives of both parties.

CERTIFICATIONS AND REPRESENTATIONS

Each party represents and warrants that it has the authority to enter into this Agreement, that the information provided to the other party in connection with this Agreement is true and accurate to the best of its knowledge, and that it will comply with all applicable laws and administrative requirements applicable to the preparation and use of the OMB Control Notice and related materials.
