The Inspector shall treat all non-public business information obtained in the course of the assessment as confidential and shall not disclose such information to third parties except (a) with prior written consent, (b) as required by law, or (c) to professional advisors under obligations of confidentiality. The Business shall mark or identify material considered proprietary; however, the Inspector shall not be liable for inadvertent disclosure of information that becomes publicly known through no fault of the Inspector.

GOVERNING LAW

This Agreement and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This document, including any exhibits and attachments expressly incorporated by reference, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior proposals, negotiations and agreements, whether written or oral. Any amendment or modification must be in a writing signed by authorized representatives of both parties.
