BUSINESS CONDITIONS AGREEMENT

This Business Conditions Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks to procure certain services and deliverables under the conditions and terms set forth herein; and

WHEREAS, Contractor represents that it has the experience, personnel, and resources necessary to perform the services described in this Agreement and agrees to perform such services in accordance with the standards and schedule set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

1. SCOPE OF WORK

Contractor shall perform the work and provide the deliverables described below. All services shall be performed in a professional and workmanlike manner consistent with industry standards.

2. PAYMENT TERMS

Compensation for the services rendered by Contractor shall be as follows.

If any undisputed payment is not received by Contractor within days after the due date, late fees shall accrue at per month on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower.

3. TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

4. CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by a party (the "Discloser") to the other (the "Recipient"), whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information excludes information that is (a) publicly available at the time of disclosure; (b) rightfully received from a third party without obligation of confidentiality; (c) independently developed by Recipient without use of Discloser's Confidential Information; or (d) required to be disclosed by law or valid legal process.

Recipient shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure of Confidential Information to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein; and (iii) take reasonable measures to protect Confidential Information from unauthorized disclosure. Upon termination of this Agreement or upon Discloser's request, Recipient shall return or destroy all Confidential Information and certify such return or destruction in writing.

5. REPRESENTATIONS, INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Contractor represents that services shall be provided in a competent and professional manner in accordance with prevailing industry standards.

Contractor shall indemnify and hold harmless Client from and against any third-party claims arising from Contractor's negligent acts or willful misconduct in providing the services. Except for indemnification obligations or willful misconduct, neither party shall be liable for incidental, consequential, special, or punitive damages, and each party's aggregate liability arising from this Agreement shall be limited to the amounts actually paid by Client to Contractor under this Agreement in the twelve (12) months preceding the event giving rise to liability.

6. GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of courts located in for resolution of any disputes arising under this Agreement.

7. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification of this Agreement must be made in writing and signed by authorized representatives of both parties.

8. MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Contractor may assign to an affiliate or in connection with a sale of substantially all of its business assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
