BUSINESS CONDITIONS TEMPLATE

This Business Conditions Agreement ("Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Client is engaged in the business described above and desires to retain Contractor to perform certain services under the terms set forth in this Agreement; and

WHEREAS, Contractor represents that it has the necessary experience, personnel and resources to perform the services described herein and is willing to perform such services pursuant to the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the performance, payment, confidentiality and other terms applicable to the engagement.

SCOPE OF WORK

Contractor shall perform the services, deliverables and milestones set forth in this section. The Scope shall include, without limitation, description of work, deliverable formats, acceptance criteria and any milestone dates.

PAYMENT TERMS

Client shall compensate Contractor for satisfactory performance of the Scope of Work in accordance with the terms below. All payments shall be made in lawful currency.

Invoices are payable within days of receipt unless otherwise agreed in writing. Payments not received within the specified period shall accrue interest as set forth above and may be subject to collection costs.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period above after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any Confidential Information disclosed by the other party, except as required by law or with the prior written consent of the disclosing party. "Confidential Information" includes non-public business information, technical data, trade secrets, pricing, and customer information. Confidentiality obligations shall survive termination of this Agreement for years.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Contractor shall retain ownership of pre-existing intellectual property. All deliverables created specifically for Client under this Agreement ("Work Product") shall be deemed work for hire and assigned to Client upon full payment; Contractor shall execute instruments necessary to effectuate such assignment. Contractor may retain copies for record-keeping subject to confidentiality obligations.

INDEMNIFICATION AND LIABILITY

Each party shall indemnify and defend the other against third-party claims arising from its gross negligence or willful misconduct. Except for liability arising from willful misconduct or indemnification obligations, neither party's aggregate liability under this Agreement shall exceed the total amounts actually paid by Client to Contractor under this Agreement in the twelve (12) months preceding the claim.

All notices required or permitted under this Agreement shall be in writing and delivered to the notice addresses provided above or to the following contact points:

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to choice-of-law principles. The parties submit to the exclusive jurisdiction of the courts located in the governing jurisdiction for resolution of disputes.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any written exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

SEVERABILITY; WAIVER

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure to enforce any right shall not constitute a waiver of that right.
