What a Business Conduct Attestation Is and when it’s used

A Business Conduct Attestation is a signed statement by an individual or organization confirming compliance with specified conduct standards, policies, or regulatory obligations. Typical uses include supplier onboarding, internal compliance confirmations, conflict-of-interest disclosures, and contractor attestations. The form documents that the signer has read, understood, and will adhere to listed standards or certifies factual conditions such as training completion or licensing status. Courts and regulators may treat a properly executed attestation as evidence of notice or acknowledgement when backed by a reliable signature method and clear record retention.

Why this attestation matters for compliance and recordkeeping

A Business Conduct Attestation creates a discrete, dated record that demonstrates an individual or vendor acknowledged rules or disclosures. It reduces ambiguity about who received requirements, supports audits, and helps satisfy internal controls and regulatory reviews under federal and state frameworks.

Why this attestation matters for compliance and recordkeeping

Who commonly completes a Business Conduct Attestation

Common signers include employees, vendors, contractors, and board members who must certify compliance with company policies or regulatory provisions.

  • Employees confirming receipt of employee handbook, conflict-of-interest rules, or ethics training.
  • Vendors certifying adherence to procurement policies, data handling standards, or export controls.
  • Contractors and consultants attesting to licensing, background checks, or insurance coverage.

Organizations of all sizes use attestations to create auditable proof of notice, training completion, disclosures, or conflict-of-interest acknowledgments.

Who may sign and who may certify

Authorized Signer

An individual with personal responsibility for the representation (employee, contractor, vendor representative). The signer should have the authority and factual knowledge to attest and must use a signature method traceable to them.

Organizational Certifier

For company-level attestations, a corporate officer or delegated representative may sign on the entity’s behalf. The signatory should cite their title and capacity to bind the organization.

Core parts of a professional Business Conduct Attestation

A clear, enforceable attestation combines identity, factual statements, the attestation clause, effective date, signature block, and retention instructions. Each element helps ensure the document is admissible and meaningful for audits and compliance reviews.

Attestation Clause

A concise statement of what is being certified, including any standards, policies, or facts the signer confirms.

Effective Date

Signature Block

Signature, printed name, title, and date; specify whether electronic signatures are acceptable.
