SCOPE OF SERVICES AND AGENDA

The Organizer shall provide event planning, speaker coordination, venue management, audiovisual services, attendee registration, and other services necessary to execute the Conference as set forth in this Scope of Services. The detailed operational responsibilities, deliverables, and service levels are described below.

PAYMENT TERMS

Compensation: Client agrees to pay Organizer the total amount set forth below for the Services provided in connection with the Conference. All amounts are expressed in U.S. dollars.

If any payment due under this Agreement is not received within days after the due date, Client shall pay a late fee of per month on the outstanding balance, calculated daily and compounded monthly, or the maximum allowed by law, whichever is less.

TERM AND TERMINATION

This Agreement commences on Start Date: and terminates on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the proposed termination date. Either party may terminate for material breach if the breach remains uncured for a period of days following written notice of such breach. Termination does not relieve Client of obligation to pay for Services performed through the effective termination date.

CONFIDENTIALITY

Each party (the "Recipient") agrees to keep confidential and not disclose to any third party any non-public information disclosed by the other party (the "Discloser") that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that (a) is or becomes publicly known through no breach by Recipient; (b) is rightfully received from a third party without restriction; (c) is independently developed by Recipient without use of Discloser's Confidential Information; or (d) is required to be disclosed by law or regulation, provided Recipient gives Discloser prompt notice of such requirement and cooperates with Discloser to seek protective measures.

Confidentiality obligations shall continue for a period of years following termination or expiration of this Agreement.

INDEMNIFICATION (SUMMARY)

Each party shall indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from and against all third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or resulting from the indemnifying party’s breach of this Agreement, gross negligence, or willful misconduct.

LIMITATION OF LIABILITY

Except for liability resulting from a party’s gross negligence, willful misconduct, or breach of confidentiality or indemnification obligations, neither party shall be liable to the other for any consequential, incidental, special, or punitive damages, and total aggregate liability shall not exceed the fees paid to Organizer under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attached schedules, exhibits, and the final agreed agenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification to this Agreement must be in writing and signed by duly authorized representatives of both parties.
