BUSINESS CONFERENCE AGREEMENT

RECITALS

WHEREAS, the Organizer named above is engaged in planning, organizing, and producing business conferences and related programs and possesses the operational capability to host such events; and

WHEREAS, the Participant desires to participate in, present at, sponsor, or otherwise provide services for the conference entitled to be held at beginning on and ending on .

WHEREAS, the parties wish to set forth in writing the terms and conditions under which the Participant will provide services and the Organizer will provide conference facilities, promotion, and other agreed services.

SCOPE OF WORK

The Participant shall perform the services and fulfill the obligations described below. The Organizer shall provide the facilities, promotion, and support described below. Specific duties, deliverables, and timelines are as follows:

PAYMENT TERMS

In consideration for the services provided by the Participant, the Organizer shall pay the Participant the amounts and on the schedule set forth below. All monetary amounts are stated in U.S. dollars unless otherwise indicated.

Payments not received by the due date shall accrue the Late Payment Fee specified above and interest thereafter at the maximum lawful rate permitted. The Organizer shall be responsible for any collection costs, including reasonable attorney fees, incurred in enforcing payment obligations.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue through the conclusion of the conference and the Parties' final accounting obligations unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach of the other party that remains uncured for the notice period specified above. Organizer may terminate immediately for Participant's failure to comply with venue rules, safety requirements, or applicable law. Upon termination, the Organizer shall pay Participant for services rendered through the effective date of termination, subject to offsets for Participant's breach.

CONFIDENTIALITY

Each party may disclose certain confidential or proprietary information to the other party in connection with performance under this Agreement. "Confidential Information" includes nonpublic business, technical, financial, and attendee or sponsor data. The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to employees, agents, or contractors who have a need to know and are bound by comparable confidentiality obligations, and (c) exercise at least reasonable care to prevent unauthorized disclosure. Confidential Information shall not include information that is or becomes publicly known without breach, rightfully received from a third party without restriction, or independently developed.

Breach of confidentiality shall entitle the non-breaching party to injunctive relief in addition to any other remedies at law or in equity.

INSURANCE AND INDEMNIFICATION

The Participant shall maintain at its expense commercial general liability insurance covering its activities at the conference and shall provide certificates upon request. Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligent acts or willful misconduct in connection with this Agreement.

INTELLECTUAL PROPERTY

Each party retains all right, title and interest in and to its pre-existing intellectual property. Any materials produced specifically for the conference under this Agreement shall be owned by the party that creates them unless otherwise agreed in writing. The Participant grants the Organizer a non-exclusive, royalty-free license to use Participant's name, logo and presentation materials solely to promote and operate the conference as contemplated by this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall be exclusively in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or waiver must be in writing and signed by both parties.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above by personal delivery, certified mail (return receipt requested), or nationally recognized overnight courier service and shall be effective upon receipt.
