BUSINESS CONFIDENTIAL DOCUMENT

This Business Confidential Document (the Agreement) is entered into by and between Disclosing Party: and Receiving Party: effective as of .

RECITALS

WHEREAS, Disclosing Party possesses certain confidential, proprietary, and commercially valuable information related to its business, operations, products, processes, strategies and customer lists; and

WHEREAS, Receiving Party desires to receive such information for the limited purpose of evaluating and performing the Scope of Work described herein and the parties desire to protect the confidentiality of such information in accordance with the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants and obligations contained in this Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

DEFINITIONS

"Confidential Information" means all non-public, proprietary, technical, commercial or financial information disclosed by Disclosing Party to Receiving Party, whether disclosed orally, in writing, or by inspection of tangible objects, including but not limited to designs, drawings, specifications, business plans, customer and supplier lists, pricing, software, prototypes, formulas, trade secrets and marketing plans, and all analyses, compilations, studies or other documents prepared by Receiving Party that contain or reflect such information.

SCOPE OF WORK

PAYMENT TERMS

All payments are due as specified above. If any payment is not received within the agreed period, interest or the stated late fee will accrue from the due date until payment in full. Receiving Party is responsible for all reasonable costs of collection, including attorneys' fees, if payment is not made when due.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period specified above following written notice. Upon termination, Receiving Party shall promptly cease use of Confidential Information and, at Disclosing Party's election, return or certify destruction of all Confidential Information and all copies thereof.

CONFIDENTIALITY

Receiving Party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care that it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except as expressly permitted by this Agreement; and (c) use Confidential Information solely for the purpose of performing the Scope of Work. Receiving Party shall restrict access to Confidential Information to its employees, agents and contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

If Confidential Information constitutes a trade secret under applicable law, Receiving Party's obligations with respect to such trade secrets shall continue for as long as the information retains trade secret protection. The obligations of nondisclosure survive termination of this Agreement for the period specified above.

RETURN OR DESTRUCTION

Upon written request of Disclosing Party or upon termination of this Agreement, Receiving Party shall promptly return to Disclosing Party or destroy all materials containing Confidential Information and any copies thereof, and shall provide a written certification of such destruction within the time period requested by Disclosing Party.

EXCLUSIONS FROM CONFIDENTIAL INFORMATION

Confidential Information does not include information that: (a) is or becomes publicly available through no breach by Receiving Party; (b) was lawfully in Receiving Party's possession prior to receipt from Disclosing Party; (c) is rightfully obtained by Receiving Party from a third party without restriction and without breach of obligation to Disclosing Party; or (d) is independently developed by Receiving Party without use of Disclosing Party's Confidential Information.

REMEDIES

Receiving Party acknowledges that a breach of this Agreement may cause irreparable harm to Disclosing Party for which monetary damages may be inadequate. Accordingly, Disclosing Party shall be entitled to seek injunctive relief and other equitable remedies in addition to any other remedies available at law or in equity.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a written instrument signed by both parties.

NOTICES

MISCELLANEOUS PROVISIONS

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except to a successor in interest to all or substantially all of the assigning party's business. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
