BUSINESS CONFIRMATION AGREEMENT

This Business Confirmation Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Company Name represents that it is engaged in legitimate business operations and possesses the authority, personnel and expertise necessary to perform the services described in this Agreement;

WHEREAS, Other Party desires to obtain confirmation of certain business activities and mutual commitments from Company Name and to document the terms, compensation and confidentiality obligations governing such activities;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

SCOPE OF WORK

Company Name shall provide the services and deliverables described below. The parties acknowledge that the written description is the controlling statement of the scope and that changes to scope shall be subject to the Change Order provisions set forth herein.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Other Party shall pay Company Name as provided in this section.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue until the completion of the Scope of Work unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation hereunder and fails to cure such breach within the notice period. Termination for convenience by either party requires the notice period set forth above and payment for work performed through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (i) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care, (ii) use Confidential Information solely to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall remain confidential for so long as they qualify as trade secrets under applicable law.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement: This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to the subject matter hereof. No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that a party may assign this Agreement in connection with a merger, acquisition or sale of all or substantially all of its assets.

Limitation of Liability: Except for liability arising from a party's breach of confidentiality or willful misconduct, in no event shall either party be liable to the other for consequential, incidental, special or punitive damages, and aggregate liability shall not exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and delivery of this Agreement has been duly authorized by all requisite corporate or other organizational action.
