BUSINESS CONFIRMATION DOCUMENT

This Business Confirmation Document (the "Confirmation") is entered into between:

Recitals

WHEREAS, Client Name: desires confirmation of services and terms to be provided by Service Provider Name: ;

WHEREAS, Service Provider represents that it has the experience, personnel, and capacity to perform the services described below under the terms set forth in this Confirmation; and

WHEREAS, the parties wish to confirm their mutual understanding of scope, compensation, schedule and other material terms so that each may proceed in reliance on such terms.

Scope of Work

The Service Provider will perform the services described below (the "Services"). The Services shall be performed in a professional manner consistent with applicable industry standards.

Payment Terms

In consideration for the Services, Client shall pay Service Provider the amounts and according to the schedule specified below. All fees are exclusive of applicable taxes unless otherwise stated.

Term and Termination

This Confirmation commences on the Effective Date set forth below and, unless earlier terminated, shall continue until the End Date set forth below or until completion of the Services, whichever occurs first.

Either party may terminate this Confirmation for convenience upon written notice to the other party at least days prior to termination. Termination for material breach may be immediate where the breaching party fails to cure within a reasonable cure period not to exceed 30 days following written notice of breach.

Confidentiality

Each party agrees that, during the term of this Confirmation and for a period of two (2) years thereafter, it will hold in confidence and not disclose to any third party any Confidential Information of the other party. "Confidential Information" includes non-public business, financial, technical, and customer information disclosed in connection with this Confirmation, but does not include information that is publicly available through no fault of the receiving party, or that is independently developed without use of the other's Confidential Information.

The receiving party shall use the Confidential Information solely to perform its obligations under this Confirmation and shall take reasonable measures to protect such Confidential Information from unauthorized disclosure. Disclosure required by valid legal process is permitted provided the receiving party gives the disclosing party prompt written notice and cooperates in any lawful effort to limit disclosure.

Representations and Warranties

Each party represents that it has the authority to enter into this Confirmation and to perform its obligations hereunder. Service Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards; Client's sole remedy for breach of this warranty shall be re-performance of the defective Services or, if Service Provider cannot correct the deficiency within a commercially reasonable time, a refund of fees paid for the deficient Services.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from any third-party claims arising out of its gross negligence or willful misconduct. Except for indemnification obligations and breaches of confidentiality, neither party shall be liable to the other for incidental, consequential, or punitive damages. Aggregate liability shall not exceed the total fees paid under this Confirmation for the twelve (12) month period preceding the claim.

Governing Law

This Confirmation shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles. Venue for any dispute arising under this Confirmation shall be in the state and federal courts located in that state.

Entire Agreement

This Confirmation, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment to this Confirmation must be made in writing and signed by authorized representatives of both parties.
