What a Business Conflict of Interest Agreement Is and when it applies

A Business Conflict of Interest Agreement is a written contract between an organization and an individual or third party that discloses, manages, and restricts activities that could create competing loyalties or financial interests. It defines covered relationships, reporting obligations, review procedures, required disclosures, and remedial steps to resolve or mitigate conflicts. Organizations use this agreement to protect fiduciary duties, regulatory compliance, procurement integrity, and public trust by documenting known conflicts, setting approval gates, and creating an auditable record of disclosures and actions taken to avoid or manage competing interests.

Why this agreement matters for corporate governance

A clear Business Conflict of Interest Agreement reduces legal exposure, helps maintain impartial decision-making, and preserves stakeholder confidence by requiring timely disclosure and approval of potential conflicts. It creates a predictable process for assessing and managing risks tied to financial interests, outside employment, board memberships, or family relationships that could affect corporate decisions.

Why this agreement matters for corporate governance

Who typically completes and signs these agreements

Use consistent templates and centralized tracking so disclosures are recorded, reviewed, and retained according to policy.

  • Corporate officers and executives who oversee vendor selection, budgeting, or strategy and must disclose external financial interests.
  • Procurement and vendor managers responsible for sourcing decisions who need documented conflict clearance before awarding contracts.
  • Board members, committee members, and senior advisors who must report outside affiliations and recuse themselves when appropriate.

Primary signatories and approvers

Authorized Signatory

General counsel or an authorized officer typically signs for the organization; this role confirms review, records approvals, and ensures the agreement aligns with corporate policy and applicable law.

Individual Party

The employee, contractor, consultant, or vendor who has the potential conflict must disclose details and sign to attest the accuracy of disclosures and consent to any management steps.

Review process
