RECITALS

All payments shall be made in lawful currency and delivered to the address provided by the payee. Unpaid amounts shall accrue the agreed late fee from the date due until paid in full, and the non-prevailing party shall be responsible for reasonable costs of collection, including attorneys' fees.

Either party may terminate this Letter for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Consenting Party designates the following as Confidential Information: business plans, customer lists, pricing, trade secrets, and any non-public financial information.

The recipient of Confidential Information agrees not to disclose such information to any third party except as required by law or with the prior written consent of the disclosing party. Confidentiality obligations shall survive termination of this Letter for a period of three (3) years unless otherwise agreed in writing.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full corporate or organizational power and authority to enter into this Letter and to perform its obligations hereunder, that the execution and delivery of this Letter has been duly authorized, and that performance will not violate any agreement or obligation to any third party.

GOVERNING LAW

This Business Consent Letter shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. MISCELLANEOUS PROVISIONS
