Business Consultant Agreement

This Business Consultant Agreement ("Agreement") is made effective as of , by and between the parties set forth below.

WHEREAS

WHEREAS, Client seeks specialized business advisory and consulting services to improve operational efficiency, strategic planning, and revenue growth; and

WHEREAS, Consultant has represented that Consultant possesses the experience, knowledge, and ability to provide such services to Client and is willing to provide such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Scope of Work

Consultant shall provide consulting services as described below. Consultant will perform the services in a professional and workmanlike manner consistent with industry standards.

Payment Terms

As consideration for Consultant's services, Client shall pay Consultant the fees and expenses set forth below.

Expenses reasonably incurred by Consultant in connection with the services shall be reimbursed by Client if pre-approved in writing. Reimbursable expenses shall be invoiced and must be paid according to the Payment Schedule.

All amounts are exclusive of taxes. Client is responsible for withholding taxes if required by applicable law. Consultant shall provide invoices itemizing fees and reimbursable expenses.

Term and Termination

This Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach that is not cured within thirty (30) days following written notice of such breach.

Upon termination, Consultant shall deliver all work in progress and Client shall pay Consultant for all services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means nonpublic information disclosed by either party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information does not include information that (i) is or becomes generally known to the public through no breach by the receiving party; (ii) is received from a third party without breach of any obligation of confidentiality; (iii) was known to the receiving party prior to disclosure as evidenced by written records; or (iv) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure of Confidential Information to those employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations no less protective than those set forth herein; and (c) take reasonable measures to protect the confidentiality of the disclosed information. These obligations shall survive termination of this Agreement for years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Exclusive venue for any dispute arising under this Agreement shall be in the state or federal courts located in that state.

Independent Contractor; Indemnification; Limitation of Liability

Consultant is an independent contractor and not an employee or agent of Client. Consultant shall be solely responsible for payment of Consultant's taxes and benefits. Client shall not control the manner or means of Consultant's performance.

Each party agrees to indemnify and hold the other harmless from and against claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO CONSULTANT UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment to this Agreement must be in writing signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or nationally recognized courier service.
