BUSINESS CONSULTANT CONTRACT

Parties

This Business Consultant Contract (the Agreement) is entered into as of (Effective Date), by and between the parties identified above.

Recitals

WHEREAS, Client desires to engage Consultant to perform professional business consulting services as described herein; and

WHEREAS, Consultant has the experience, qualifications, and capacity to provide the services described in this Agreement and is willing to provide such services on the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

Scope of Work

Consultant shall perform the services described above (Services) in a professional and workmanlike manner consistent with industry standards. Consultant will provide deliverables, interim reports, and regular status communications as reasonably requested by Client.

Payment Terms

Unpaid amounts shall accrue interest at the rate specified above and Client shall reimburse Consultant for collection costs and any reasonable attorneys' fees incurred in collecting past-due amounts.

Consultant will be reimbursed for pre-approved, reasonable, and documented out-of-pocket expenses incurred in connection with the Services.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing the other party written notice as set forth above. Termination for a material breach shall be effective upon written notice if the breaching party fails to cure the breach within the notice period. Termination shall not relieve Client of its payment obligations for Services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (Recipient) shall hold in confidence and not disclose to any third party any Confidential Information of the other party (Discloser). "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that (i) was in the public domain at the time of disclosure, (ii) is rightfully received by Recipient from a third party without restriction, (iii) is independently developed by Recipient without use of Discloser's Confidential Information, or (iv) is required to be disclosed by law, provided Recipient gives Discloser prompt notice of such requirement and cooperates in any effort to obtain confidential treatment.

The obligations of confidentiality shall survive termination or expiration of this Agreement for years.

Intellectual Property; Work Product

Consultant agrees that all original materials, reports, data, models, and other tangible or intangible work product specifically prepared for Client under this Agreement (Work Product) shall be considered "work made for hire" and, to the extent not qualifying as such, Consultant hereby irrevocably assigns to Client all right, title and interest in and to the Work Product upon full payment of all amounts due. Consultant may retain ownership of pre-existing methodologies and generic know-how provided to Client, but grants Client a perpetual, worldwide, royalty-free license to use any such materials to the extent incorporated in the Work Product.

Relationship of the Parties; Indemnity; Limitation of Liability

Consultant is an independent contractor and not an employee, agent, or legal representative of Client. Consultant shall be responsible for all taxes and withholdings relating to compensation paid under this Agreement.

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement. Neither party shall be liable to the other for any indirect, special, incidental, consequential, or punitive damages, except for liability arising from willful misconduct, gross negligence, or breach of confidentiality or intellectual property obligations.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If the dispute is not resolved within a reasonable period, the parties may pursue any available legal or equitable remedies in the courts of the governing state.

Entire Agreement; Amendments

This Agreement, including any schedules and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
