PAYMENT TERMS

Compensation for services rendered under this Agreement shall be as follows:

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for cause is permitted where a party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice describing the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential. Each party shall: (a) maintain the Confidential Information in strict confidence; (b) not disclose it to any third party except to employees, agents or subcontractors who have a need to know and who are bound to confidentiality no less protective than this Agreement; and (c) use the Confidential Information solely to perform obligations under this Agreement. The obligations of confidentiality do not apply to information that is or becomes public through no breach by the receiving party, independently developed without use of the Confidential Information, or rightfully obtained from a third party without restriction.

All notices under this Agreement shall be in writing and delivered to the parties at the addresses below. a party may update its notice address by written notice to the other party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets, provided that such successor assumes all obligations hereunder. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
