This Business Context BCR ("Agreement") is entered into as of Effective Date: between the parties identified below.

Parties

WHEREAS Recitals

WHEREAS, Provider maintains specialized business context information, operational procedures and analysis relevant to the services described herein and is willing to disclose such information to Recipient under the terms and conditions stated in this Agreement to enable Recipient's evaluation and integration of those business contexts; and

WHEREAS, Recipient seeks access to those business contexts for the limited purposes described in the Scope of Work and agrees to safeguard, use and limit further disclosure of such information as set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the obligations, payment terms, confidentiality protections and governing law applicable to the exchange and use of business context information.

Scope of Work

Deliverables shall include the specific contextual materials, documentation and any accompanying analysis expressly listed in the Scope of Work. Any change to the Scope of Work that materially affects timeline or compensation must be agreed in writing by authorized representatives of both parties.

Payment Terms

All invoices are payable in the currency specified on the invoice. If any undisputed amount is not paid within the agreed payment period, Provider may suspend delivery of deliverables after ten (10) days' written notice and shall be entitled to recover collection costs and interest as set forth above.

Either party may terminate this Agreement for material breach if the breach remains uncured for the notice period specified above following written notice. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public business, technical, operational or financial information disclosed by a disclosing party to the receiving party that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (a) use Confidential Information solely for the purposes contemplated by this Agreement; (b) restrict access to Confidential Information to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Exclusive venue for disputes arising under this Agreement shall be the state or federal courts located in that jurisdiction, subject to the parties' rights to seek injunctive relief.

Representations; Entire Agreement

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder. Each signatory represents that they are duly authorized to bind the party for which they sign.

This Agreement, including any attachments or written amendments executed by authorized representatives of the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, understandings and representations, whether oral or written.

Miscellaneous Provisions

No amendment to this Agreement shall be effective unless executed in writing by authorized representatives of both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
