What a Business Continuation Agreement Is

A Business Continuation Agreement is a contractual plan that defines how a business will continue operating after the incapacity, retirement, death, or departure of one or more key owners or managers. It typically sets transfer terms for ownership interests, identifies successors or buyout mechanics, and specifies funding sources and valuation methods to ensure continuity of operations and minimize disputes among stakeholders.

Why a Business Continuation Agreement Matters

A clear agreement reduces operational disruption, preserves business value, and establishes predictable ownership transitions that protect employees, creditors, and remaining owners.

Why a Business Continuation Agreement Matters

Who typically prepares and signs this agreement

The agreement is most often prepared by the business owners with input from legal and tax advisors and executed by equity holders and authorized officers.

  • Family-owned businesses with succession planning needs
  • Partnerships and close corporations sharing ownership interests
  • Lenders and investors seeking clarity on ownership stability

It is also useful for lenders, investors, and family-owned enterprises to document obligations and continuity plans in advance.

Core clauses to include in a professional agreement

A complete Business Continuation Agreement addresses ownership transfers, valuation, funding, governance, dispute resolution, and implementation procedures so the business can continue with minimal interruption.

Transfer Trigger

Defines events that trigger transfer (death, disability, retirement, resignation) and the required notices and proofs.

Valuation Method

Specifies how interest value is calculated (fixed price, appraisal formula, or agreed multiplier) and timing for valuation.

Funding Source

Describes payment mechanics (installments, lump sum, life insurance proceeds, escrow) and responsibility for taxes.

Buy-Sell Mechanics

Sets right of first refusal, mandatory buyout vs. option to buy, and cross-purchase vs. entity purchase structures.

Governance

Allocates interim management authority, voting changes, and operational limits during ownership transition.

Dispute Resolution

Includes mediation/arbitration clauses, choice of law, and venue for contested valuations or enforcement.

Step-by-step: completing a Business Continuation Agreement

Follow this sequence to prepare, approve, and execute a binding agreement that aligns with governance and tax requirements.

  • 01
Gather Documents: Collect articles, ownership ledgers, and prior buy-sell agreements.
  • 02
Choose Valuation: Select fixed formula, periodic appraisal, or third-party appraiser.
  • 03
Decide Funding: Identify life insurance, escrow, or installment payment sources.
  • 04

How online completion and routing generally work

Digital eSignature platforms enable structured signing order, field validation, and an auditable completion record to support enforceability.

  • Upload Document: Host the template in the platform library for reuse.
  • Add Fields: Place signature, date, and conditional fields for optional buyout terms.
  • Assign Signers: Enter signer email addresses and set order or parallel signing.
  • Execute: Signer authenticates and signs; platform records audit trail.

Digital signing considerations and platform requirements

Choose an eSignature provider that supports the authentication strength and compliance level your agreement requires.

  • Authentication Options: Email link, SMS code, or knowledge-based verification
  • Integrations: CRM, ERP, cloud storage connections for automated recordkeeping
  • Compliance: BAA availability and retention controls
