BUSINESS CONTRACT ADDENDUM

Parties

This Addendum is entered into effective as of by and between:

Recitals

WHEREAS, the parties entered into an original agreement titled dated (the "Original Agreement");

WHEREAS, the parties wish to amend certain provisions of the Original Agreement on the terms set forth in this Addendum to reflect changes in scope, compensation, and term; and

WHEREAS, all capitalized terms used but not defined in this Addendum have the meanings given to them in the Original Agreement unless otherwise indicated herein.

Amendments — Scope of Work

The parties agree that the Scope of Work in the Original Agreement is amended as follows. The following description supersedes and replaces any conflicting descriptions in the Original Agreement.

Payment Terms

All invoices shall reference the Original Agreement and this Addendum. Unless otherwise agreed in writing, payments not received within the stated payment period shall accrue the Late Payment Fee and the non-defaulting party may suspend performance after providing written notice and a ten (10) day cure period.

Term and Termination

The term of this Addendum shall commence on and shall expire on unless earlier terminated as provided below.

Either party may terminate this Addendum for convenience upon written notice to the other party not less than days prior to the effective termination date. Termination for material breach shall follow the cure procedures set forth in the Original Agreement, except that the non-breaching party may pursue all remedies available at law or in equity.

Confidentiality

Each party acknowledges that in the performance of this Addendum it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in written, electronic, or oral form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall: (a) protect Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Addendum; and (c) not disclose Confidential Information to any third party except as permitted by this Addendum or with the disclosing party's prior written consent. Confidential Information does not include information that: (i) is or becomes generally available to the public through no breach of this Addendum by the receiving party; (ii) was lawfully in the receiving party's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Addendum and that performance of its obligations hereunder will not violate any agreement, law, or court order applicable to such party. No other representations or warranties are made except as expressly set forth in the Original Agreement or this Addendum.

Governing Law; Venue

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties agree that exclusive venue for any dispute arising under this Addendum shall be the state or federal courts located in the county specified in the Original Agreement, and each party consents to personal jurisdiction in such courts.

Entire Agreement; Amendment

This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous agreements, understandings, or communications, whether written or oral, relating to such subject matter. Except as expressly provided in this Addendum, no modification, amendment, or waiver of any provision of this Addendum shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach or default under this Addendum shall be deemed a waiver of any subsequent breach or default. The parties shall execute such further instruments and take such further actions as may be necessary to carry out the purposes of this Addendum.

Execution

This Addendum may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Electronic or facsimile signatures shall be binding for all purposes.
