What the Business Contract and LOR Are

The Business Contract and LOR is a paired template commonly used in commercial settings: a legally binding contract that sets terms, obligations, and deliverables between business parties, alongside a Letter of Recommendation (LOR) that documents a party's performance or suitability. The contract portion defines scope, payment, timelines, warranties, and dispute resolution; the LOR provides qualitative endorsement that may support vendor selection, financing, or internal promotions. Both elements can be completed, signed, and retained electronically under U.S. e-signature laws when they meet intent, consent, attribution, and retention requirements.

Why Use a Combined Contract and Recommendation Letter

Using a combined Business Contract and LOR clarifies obligations while preserving testimonial evidence of performance. Clear terms reduce disputes and the LOR aids credibility in procurement, financing, or hiring decisions. Electronic completion can speed turnaround while maintaining legal validity under federal e-signature statutes.

Why Use a Combined Contract and Recommendation Letter

Who Typically Completes This Template

Typical users include small business owners, procurement teams, HR managers, and third-party vendors seeking formal agreements and endorsements.

  • Small businesses: draft standard service or sales contracts and capture staff or vendor recommendations.
  • Procurement teams: compare vendor proposals, require signed commitments, and retain performance letters for evaluation.
  • HR and management: use contracts for engagements and LORs for promotions, references, or contractor assessments.

Organizations of varying size use this combined template to streamline contracting and preserve written endorsements for future decisions.

Essential Sections to Include

Core sections of a professional Business Contract and LOR ensure clarity, assign responsibilities, and document performance evidence in a structured, legally cognizable format.

Parties

Identify all contracting parties with full legal names, entity types, and contact details. Include authorized signer names and titles to establish authority and prevent later disputes over signing capacity.

Scope

Describe services or goods with measurable deliverables, milestones, acceptance criteria, and any deliverable formats. Precise scope limits scope creep and supports LOR assertions about fulfilled obligations.

Consideration

State exact payment amounts, schedules, invoicing terms, late fees, and any retainers. Link consideration to milestone acceptance to avoid payment disputes and to support financial assertions in a LOR.

Warranties

Include representations, warranties, indemnities, and limit of liability language. Tailor warranty scope to the goods or services and ensure the LOR does not imply unbounded warranty terms.

Dispute

Specify governing law, venue, arbitration clauses, and escalation procedures. Clear dispute mechanisms reduce litigation risk and set expectations for enforcement and remedial steps.

LOR Content

State the author, relationship to the subject, observed period, and specific examples of performance. Avoid vague praise; include dates and factual, verifiable observations.

HIPAA Risks: HIPAA breach exposes civil penalties and corrective action

Reputational Harm: Loss of trust, lost business opportunities

Common Preparation Pitfalls to Avoid

  • Vague scope and deliverables lead to disputes and undermine the LOR's usefulness as evidence of performance; be specific about quantities, dates, and acceptance criteria.
  • Mismatched names between contract, corporate filings, and signature blocks can invalidate enforcement or trigger backup withholding and payment delays; use legal entity names consistently.
  • Missing or unclear consideration creates enforceability problems; stating 'services' without price or schedule makes breach remedies and LOR claims harder to quantify.
  • Failing to set governing law and venue increases litigation cost; inconsistent jurisdiction clauses across related documents can cause jurisdictional challenges.

Best Practices for Drafting and Execution

Best practices help ensure the Business Contract and LOR are enforceable, clear, and useful as performance evidence and legal proof.

Use precise, measurable obligations and timelines
Draft obligations with measurable acceptance criteria, deadlines, and deliverables. Tie payments to milestone acceptance and include remedies for missed milestones. Precise language prevents disputes and allows LORs to cite exact accomplishments rather than vague praise.
Confirm signer authority and corporate capacity
Verify signer's authority by matching names to formation documents or board resolutions. For businesses, include title and authority clause and consider a corporate seal or secretary certification where internal bylaws require additional proof.
Obtain required notarization or witness signatures
Check state rules for notarization and witness counts before execution. For interstate agreements, ensure e-sign methods meet ESIGN and UETA standards; for healthcare or financial documents, add extra identity verification and BAAs as applicable.
Maintain auditable records and defined retention policies
Store signed contracts and LORs with complete audit trails, timestamps, and signer metadata. Define retention schedules by document type and legal requirement, and ensure secure access controls and regular backups for long-term compliance.
