Recitals

WHEREAS, Client requires certain services as described in this Agreement and desires to engage Service Provider to perform those services on the terms and conditions set forth herein;

WHEREAS, Service Provider has the capacity, experience, and personnel necessary to perform the scope of work and represents that it will perform such work in a professional and workmanlike manner in accordance with industry standards;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Scope of Work

Service Provider shall perform the services described below. Deliverables, milestones, and acceptance criteria shall be set forth in the Scope of Work. Any changes to the Scope of Work must be made in writing and signed by authorized representatives of both parties.

Payment Terms

Client shall pay Service Provider the fees and expenses set forth below in accordance with the schedule specified. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

If any invoice is not paid within the Payment Due period above, a late fee shall accrue as set forth below. Service Provider may suspend performance for nonpayment after providing written notice and a reasonable cure period.

Term and Termination

The term of this Agreement shall commence on and shall terminate on unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receiving written notice specifying the nature of the breach.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may have access to Confidential Information of the other party. "Confidential Information" means proprietary information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as permitted herein; and (c) use it solely for the performance or enforcement of this Agreement. Confidentiality obligations do not apply to information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was rightfully in the receiving party's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, including any exhibits, attachments, and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or waiver shall be binding unless executed in writing by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand delivery, certified mail (return receipt requested), or overnight courier. Notices shall be effective upon receipt.

Miscellaneous

Each party represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement. Neither party shall be liable for delay or failure to perform caused by events beyond its reasonable control. The remedies provided in this Agreement are cumulative and not exclusive. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
