GENERAL BUSINESS SERVICES AGREEMENT

This Business Services Agreement (the Agreement) is entered into as of Effective Date: by and between Company Name: with principal place of business at and Service Provider Name: with principal place of business at .

RECITALS

WHEREAS, Company desires to retain Service Provider to perform certain business services and deliverables on the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to provide the services described herein and is willing to perform such services in accordance with this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality, term, and other material terms governing their business relationship.

Service Provider shall perform the services and provide the deliverables described below. The description below constitutes the primary scope; additional work must be mutually agreed in writing.

PAYMENT TERMS

Company agrees to compensate Service Provider for the services described above in accordance with the following payment terms.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Upon termination, Company shall pay Service Provider for all services performed and reimbursable expenses incurred through the effective date of termination, subject to any set-offs for breach. Sections that by their nature survive termination shall remain in effect.

CONFIDENTIALITY

Each party (Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information received from the other party (Disclosing Party), except as required by law or as necessary to perform the services. Confidential Information includes non-public business information, financial data, trade secrets, client lists, software, designs, and other information reasonably designated as confidential.

The obligations in this section shall survive termination or expiration for a period of Confidentiality Duration (years):

INDEPENDENT CONTRACTOR; INSURANCE; INDEMNIFICATION

Service Provider is an independent contractor and not an employee of Company. Service Provider shall be responsible for all taxes, benefits, and insurance for its personnel. Service Provider shall maintain commercially reasonable insurance and shall indemnify, defend and hold harmless Company from claims arising from Service Provider’s negligent acts or willful misconduct.

Service Provider acknowledges its status as an independent contractor and agrees to perform services consistent with that status.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising under this Agreement shall be resolved in the courts of that State, subject to the parties' right to seek injunctive relief as provided herein.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any written attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be effective unless in writing and executed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is determined to be invalid or unenforceable, the remainder shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or successor by merger or sale of substantially all assets.
